Can a buyer back out of a purchase agreement?

I am trying to sell my company and the buyer has gone silent. We have top terms agreed to and a LOI signed, but we have not put a purchase agreement in place yet. Can they legally back out if we have a LOI signed?

With the caveat that I am a Pennsylvania and not Texas attorney, most LOI's are non-binding, unless the LOI itself provides otherwise. A lawyer would need to review the LOI to determine whether the deal can be enforced. Mostly likely, however, it cannot be enforced.

What should be included in an asset purchase agreement?

I am considering buying a chain of laundry mats and have been told I would need an asset purchase agreement for the legal paperwork involved. I don't believe I want to buy the business, but am not sure. I think I would just want to buy their machines and take over their leases. If this was the case, what would I need to have in an agreement?

Yes, even though you dont intent to buy the entire business but only the machines and take over the leases (which may be allowed under their current lease or your would have to go directly to the landlord if it is not) you would still need an agreement that lays out what you are buying, the cost, what happens if you have a dispute and all the necessary things to protect your rights. I am in the process of purchasing a business and I have been presented with a business purchase agreement. I want to make sure that I am making the right decision and that all documents are properly documented. I understand that some legal documents may require notarization and I wanted to confirm if a business purchase agreement requires notarization.

North Carolina does not require business purchase agreements to be notarized. However, some documents related to the business purchase deal might require notarization. For example, any deeds needed for the deal will likely have to be notarized. Some business purchase deals are pretty simple, while others can be rather complex. In many situations, it is ideal for each party to have at least one attorney representing them in the negotiations and preparing the necessary documents. We really need to know more about the business and how everyone envisions ownership in order to answer the question. In general (and this is very general - I am a PA lawyer, not Tennessee), a limited partnership is an entity through which a business or property is owned. In a limited partnership, you need to have a general partner (either one more individuals or entities) who essentially manage the entity, and also have liability for all liabilities of the general partnership. The limited partners invest in the entity, but have no liability for the entity's obligations.
