I am a small business owner who frequently hires freelancers to work on projects for my company. Recently, I had a freelancer complete a project for me, only to discover that they started their own business offering similar services and are now competing directly with my company. This has caused financial harm to my business, so I am wondering if I can include a non-compete clause in future freelance contracts to prevent this from happening again and protect my business interests.

YES - you can include a non-compete in your contract, but the enforceability of non-competes is currently unsettled due to a recent FTC ruling making them illegal. Things are changing fast on this topic and you should seek legal advice.

What is the basis for the additional $5K? In general, if you never consented to it in a contract, asking for more is a breach of contract and you can sue to enforce the contract at the original price or sue to recover the cost to complete the project with someone else.

Can a purchase order be legally binding without a signed agreement?
I recently entered into a business transaction with a supplier where we discussed the terms and conditions of the purchase verbally, and they sent me a purchase order outlining the specifics of the deal, but we did not sign any formal agreement. Now, they are claiming that the purchase order is binding and are demanding payment, but I am unsure if it holds legal weight without a signed agreement.

It's not clear from the question if you verbally committed to the order or PO. This is something that you can and should dispute with the supplier. The purchase order may contain the essential elements of a contract: an offer (the specific goods/services), acceptance (your verbal agreement if it was given), consideration (the payment terms), and intent to create legal relations (business context). Contract law generally recognizes that commercial agreements don't always require signatures to be enforceable. If you made a verbal commitment, followed by the written purchase order, this could constitute what's called a "course of dealing" that courts may recognize. That said, the specifics of your situation matter greatly. If you never agreed to the order or the purchase order contains terms that weren't part of your verbal agreement, or if there are significant discrepancies between what was discussed and what's in the document, you have grounds to dispute certain elements.

I am currently involved in a business partnership negotiation, and the other party has proposed signing a Memorandum of Understanding (MOU) as a preliminary agreement before drafting a formal contract. I have heard conflicting information about the legal enforceability of MOUs, with some sources suggesting they are binding while others claim they are not. I want to know if signing an MOU would hold any legal weight and if it could potentially be used against me in case of a dispute or breach of agreement.

Yes - MOUs can be binding if signed by both parties and the language does not specifically call out that it's subject to a future document and/or that it is NOT legally binding on the parties. You will need to review the agreement carefully to see what language says.
