I am currently licensed in Arizona, Pennsylvania and Utah, after having moved to Phoenix from Philadelphia in September 2019. I currently serve as General Counsel for a bioengineering company. I handle everything from their Business Transactional Agreements, Private Placement Memorandums, and Corporate Structures to Intellectual Property Assignments, to Employment Law and Beach of Contract settlements. Responsibilities include writing and executing agreements, drafting court pleadings, court appearances, mergers and acquisitions, transactional documents, managing expert specialized legal counsel, legal research and anticipating unique legal issues that could impact the Company. Conducted an acquisition of an entire line of intellectual property from a competitor. In regards to other clients, I am primarily focused on transactional law for clients in a variety of industries including, but not limited to, real estate investment, property management, and e-commerce. Work is primarily centered around entity formation and corporate structure, corporate governance agreements, PPMs, opportunity zone tax incentives, and all kinds of business to business agreements. I have also recently gained experience with Estate Planning law, drafting numerous Estate Planning documents for people such as Wills, Powers of Attorney, Healthcare Directives, and Trusts. I was selected to the Super Lawyers Southwest Rising Stars list for 2024 - 2026. Each year no more than 2.5% of the attorneys in Arizona and New Mexico are selected to the Rising Stars. I am looking to further gain legal experience in these fields of law as well as expand my legal experience assisting business start ups, and also trademark registration and licensing.

My main focus is estate planning and business transactions, but I have had many practice areas throughout my career, including criminal defense and prosecution, civil litigation from neighborhood squabbles to corporate contentions. I have also worked in bankruptcy, family law, collections, employment law, and personal injury. I stand ready to assist in any area to which I feel I can be of service, but will not try to fake it if I do not know the area of law I am being asked to serve in.

Lease Purchase Agreement
Arizona
Can a seller back out of a Lease Purchase Agreement without providing a reason?
I entered into a Lease Purchase Agreement with a seller for a property, where I agreed to lease the property for a certain period with the option to purchase it at the end of the lease term. However, the seller recently informed me that they have decided not to proceed with the agreement and are backing out, without providing any specific reason for their decision. I had already invested time and money into preparing for the purchase, and I am now concerned about my rights and options in this situation. Can the seller legally back out of the Lease Purchase Agreement without giving a reason, and what recourse do I have?
David U.
Quite simply, the answer depends on exactly what the LPA States either party will or will not do. Ordinarily termination or cancellation rights are expressly spelled out in contracts. This is why it is so important to have an attorney work on your documents rather than just using canned documents available on the Internet.

Property Deed
Tennessee
Can a grantor of a filed quit claim deed sell a home without the grantees signature, or consent?
Parent signed quit claim deed over to son and it has been filed. Parent is now threatening to sell property and not give any proceeds to son who is grantee on quit claim deed. Is this even possible, legally?
Forest H.
The quick answer is likely no. If someone has executed and filed a quitclaim deed, they have no interest left to sell. Any buyer is going to review title to the property and not accept deed from the parent.

Purchase and Sale Agreement

Does Texas have any specific real estate rules?
I am moving from California and wanted to see if there is anything I should know.
George O.
Like any state, Texas does have rules specific to transactions occurring within its state lines. For example, the Texas Property Code governs most real estate matters, along with Landlord/Tenant matters. However realtors and transactions of that nature are governed by the Texas Occupations Code, which seems odd, but that is how it is.

Quitclaim Deed
Georgia
Are there risks in accepting a quitclaim deed?
I recently inherited a property from my aunt and I am considering transferring ownership to my cousin using a quitclaim deed. I have heard that there are some risks associated with this type of deed, and I wanted to make sure that I understand all of the potential implications before making a decision. I am looking for advice on how to proceed in a way that is most beneficial for all parties involved.
Bobby H.
There are generally three broad categories of deeds mostly used to convey property in Georgia, depending on certain warranties, or the lack thereof, contained therein. These categorizes include warranty deeds, limited warranty deeds, and quitclaim deeds. In a warranty or general warranty deed, the grantor generally warrants title, and promises to defend the grantee against third party title claims that either arose, or which are based on events occuring at anytime during the grantor's ownership of the property OR the ownership of any of the grantor's predecessors in title. In a limited warranty deed, a grantor generally warrants and promises to defend the grantee against title claims which arose, or which are based on events occuring during the grantor's ownership only. A quitclaim deed generally contains no warranties. Therefore, the grantee or transferee of a quitclaim deed has little to no recourse against the grantor if there is an issue with the title to the property based on the deed alone. Quitclaim deeds are often used when there is little or no money being exchanged for the property such as when there is a transfer of family property, between family members or where property is gifted.

Real Estate Sales Contract
Pennsylvania
This is a very insignificant question but one that I cannot find an answer. On the PAR Agreement for the Sale of Real Estate there are numbers listed in parentheses after each section, such as, Purchase Price and Deposits (4-14). Are the numbers referencing something? What is the significance?
I am a trainer here in the Northeast and assisting our internal team players to understand a contract and pull information that is pertinent to their transaction.
Vicki P.
I would need to see the agreement so I could know what you mean.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
