Can a consulting agreement be terminated without cause?

I have recently entered into a consulting agreement with a company to provide my expertise and services on a project basis. However, I have concerns about the termination clause in the agreement, as it states that the company can terminate the agreement at any time, without cause. This worries me because it leaves me vulnerable to sudden termination without any valid reason, potentially resulting in financial loss and damage to my professional reputation. I would like to understand if such a termination clause is legally enforceable and what options I have to protect my interests in this agreement.

Is a liability waiver enforceable if it was signed under duress?

I recently participated in a recreational activity where I was required to sign a liability waiver before being allowed to participate. However, I felt pressured to sign the waiver, as the staff did not provide any opportunity to review the document or seek legal advice. I am now wondering if the waiver is enforceable since it was signed under duress and if I would still be held liable for any injuries sustained during the activity.

Thank you for your question. From the facts you presented, this would not be duress. You could argue undue influence since they were pressuring you, but it lacks the duress element since you could have just not participated. Kansas is also very generous in favoring the enforceability of liability waivers, so the specific facts of the incident and the terms of the waiver would have to be taken into consideration. Business contract with a termination fee?

I am currently in the process of starting a business and I have been presented with a contract that includes a termination fee. I am not sure what obligations I have with respect to this fee and I would like to know what kind of legal implications I may be subject to in the event of a termination. A termination fee is a payment that one party to a contract pays the other party for terminating the contract before it expires. The general purpose is to compensate the non-terminating party for resources used and/or opportunities missed as a result of entering into the contract that is then terminated early. A well-written termination fee clause will typically include the exact fee to be paid or, if not exact, a clear explanation of how the fee is to be calculated. Additionally, it will include a timeline for the payment(s). Unless the terms of the contract are otherwise contrary to law, the terminating party is presumed to be responsible for paying the stated sum at the stated time. While it is common for a business contract to contain a termination fee clause, a termination fee that is unreasonable under the circumstances is at risk of not being enforceable. However, disputing a termination fee clause can require a lot of the parties' time and money. Before signing a contract with a termination fee clause, all of the parties should be sure that they understand and agree with the clause. If you are considering signing a contract with a termination fee clause, you might have an attorney review it before you sign it. The attorney might even be able to assist you with negotiating changes, if needed or helpful.

You're correct that your agreement should be fair and beneficial to both parties involved. Often, however, when an independent contractor receives an agreement from a company, that proposed agreement has been drafted to be favorable to the company, because that's the company's primary interest. In order to ensure the agreement is fair and equitable, you'd need to identify the business and legal provisions that are drafted in a way that protects the company but not you, and either strike those provisions entirely (if the terms are unreasonable), or suggest they be written in a mutual form. Some common examples of these provisions are warranty disclaimers, indemnity, limitation of liability, and exclusivity.

I am wondering if it is legally permissible for me to terminate the contract without providing any notice to the client, or if there are any legal implications I should be aware of.

Contract Terms Govern Termination: In Texas, a freelance or independent contractor agreement is primarily governed by its written terms. If the contract includes a termination clause (for example, requiring 30 days’ notice or allowing immediate termination for cause), those provisions must be followed. Failing to adhere to agreed termination procedures (such as giving required notice or an opportunity to cure a default) can jeopardize the right to terminate and may itself breach the contract. Always review the contract’s termination and notice clauses first. At-Will Termination of Indefinite Contracts: If the freelance agreement does not specify a fixed duration or notice period (i.e. it’s an open-ended, indefinite contract), then under Texas law it is generally terminable at will by either party. In other words, when a contract contemplates ongoing, continuous services with no defined end date, either side may end the arrangement at any time. Texas courts do not favor contracts that bind parties in perpetuity and presume such indefinite agreements are terminable at will. (For example, an agreement for continuing services with no end date can usually be ended by either party without advance notice, absent a contractual notice requirement.) Fixed-Term Contracts and Wrongful Termination: If the freelance contract is for a set term or project and has no clause allowing early termination without notice, a party cannot unilaterally terminate it mid-term without potentially breaching the contract. Texas law only excuses a party from further performance (allows termination) if the other party materially breaches or repudiates the agreement. In plain terms, one side can end the contract for cause if the other side seriously fails to perform, but if there is no such cause and no contract right to terminate, ending the contract without notice would be a wrongful termination. The terminating party would then be liable for breach of contract, and the non-breaching party is entitled to damages. For instance, a client who fires a freelancer in violation of the contract’s terms could be required to pay for the work already completed or even lost profits as damages. Payment for Work Completed: Even when a contract is terminable at will or terminated without notice, the freelance worker should be paid for any services rendered up to the termination date. The non-breaching party can seek compensation for the work performed or costs incurred before termination. In the absence of a contractual notice period, a sudden termination is lawful if the contract is at-will, but the party who did the work can still recover the value of what was delivered. Bottom line: A freelance contract can be terminated without notice only if doing so is allowed by the contract or the law (e.g. an indefinite at-will arrangement). If a written agreement has specific termination or notice requirements, those must be honored in Texas. Terminating in violation of the contract (no notice when notice is required, or no cause when the contract doesn’t allow at-will termination) will put the terminating party in breach, subjecting them to liability. Always check the contract’s termination clause and Texas contract law before ending the relationship abruptly.
