Has a contract with someone where if we disagreed we would go to mediation. They refused to go, they offered us a settlement as long as we signed another contract. I don't understand fully what it is saying.

Hi. This is a difficult question in terms of application and practicality. There is nothing in the LLC laws that prevent a minor from owning an LLC in Pennsylvania. However, the minor may not have capacity to sign a binding agreement such as the documents necessary to create an LLC. More than likely an option to consider may be to have a parent form the LLC and grant the minor an ownership interest through an operating agreement. However, each situation may be different and I urge you to contact legal counsel to discuss your specific circumstances.

The following may help you through the process, but should not be considered legal advice: Choose the State: Decide which state(s) you will be doing business in, as each has its own specific requirements and procedures for foreign entity registration. Appoint a Registered Agent: Select a registered agent within the state. This person or business entity will receive legal and tax documents on behalf of your company and must have a physical address in the state. Check Business Name Availability: Ensure your business name is available in the chosen state. If needed, reserve the name to guarantee it’s available when you file your registration. Prepare Necessary Documents: Typically, you will need to file a Certificate of Authority (also known as Foreign Qualification or Application for Registration). This document generally requires: The name of your business. The state or country where your business was originally formed. The date of formation. The principal office address. I am a potential investor in a small business. The business is offering to sell me a portion of their stock, and I have received a Stock Purchase Agreement. The Agreement does not indicate whether the sale has been approved by the board of directors of the company. I need to know if board approval is necessary in order for the Agreement to be valid.
