Has a contract with someone where if we disagreed we would go to mediation. They refused to go, they offered us a settlement as long as we signed another contract. I don't understand fully what it is saying.

You form a corporation by filing articles of incorporation with the Secretary of State. Then you will need initial board resolutions to authorize various post-incorporation organizational matters, as well as bylaws. You will also need to issue stock to the founders. Can a website hosting agreement be terminated if the hosting provider fails to meet the agreed-upon uptime guarantee?

I recently signed a website hosting agreement with a hosting provider for my e-commerce business. The agreement included an uptime guarantee of 99.9%. However, in the past few months, the hosting provider has experienced frequent downtime causing significant disruptions to my business operations. Despite repeated complaints and requests for resolution, the issue persists. I would like to know if I have grounds to terminate the hosting agreement and seek compensation for the losses incurred due to the hosting provider's failure to meet the uptime guarantee.

In many website hosting agreements, an uptime guarantee is a critical component, and failure to meet this benchmark can be considered a breach of contract. If your provider’s frequent downtime falls significantly short of the promised 99.9% uptime, and the contract includes specific provisions that allow for termination or remedies when such service levels are not met, you likely have grounds to terminate the agreement. Often, these agreements include Service Level Agreements (SLAs) that specify remedies—such as service credits, termination rights, or even compensation for losses—in the event of persistent performance issues. However, whether you can terminate the hosting agreement and seek compensation for your losses depends largely on the exact terms outlined in your contract. Some agreements may require you to follow a specific dispute resolution process or provide the hosting provider with a cure period before termination is permitted. Additionally, even if the contract does not explicitly state termination rights for failing to meet the uptime guarantee, consistent and significant performance issues may be argued as a material breach. It is advisable to review your contract carefully and consult with a legal professional who can help you determine your rights and the best course of action based on the specific language and remedies provided in your agreement.

An S-Corp has some limitations here (such as no more than 100 share holders and only one class of stock). Depending on the control that you seek to retain in your business, you may want to transition to a full C-Corp, restructure preferred (voting) shares from equity shares, and manage your business governance (Board of Directors, Officers, Resolutions, etc.) in a way big investors will find compelling.

I have heard that having a Terms of Service agreement is important to protect my website and outline the rights and responsibilities of users, but I am unsure if it is legally necessary and what specific elements it should include.

Every website that offers services and lets users create accounts needs Terms of Service - it's like having a contract with your users. It's crucial, especially in Texas. Recent Texas court cases have made it clear: you need to make sure users actually see and agree to your terms. The StubHub case is a perfect example. The court looked at whether users had fair notice of the terms and actively showed they agreed to them. The best way to do this is with what we call a "clickwrap" agreement - that's where users have to click "I agree" during sign-up. Your Terms of Service should include: ACCEPTANCE: Clear instructions on how users accept the terms - that "I agree" button. Then, spell out exactly what services you're providing and what users can and can't do on your site. PRIVACY POLICY: You'll also need a privacy policy section that explains how you handle user data. Depending upon your services and the nature of the data you are collecting and from where your users are arriving, you may need separate detailed privacy policy and a cookie policy. ADDITIONAL: You'll want sections on how disputes get resolved (like arbitration), limits on your liability, and your right to update the terms later. Getting this right protects you legally and sets clear expectations with your users.
