What contracts do I need for my business?
Hello, My name is Brian Vargas and I’m the CEO & Founder of chorrz.com - an e-commerce platform website that will provide apartment cleaning services through leveraging partnerships with local cleaning providers. My company CHORRZ would operate as follows - I would be partnering with local cleaning providers - (i.e., Marie’s Cleaning Service) who already have their own insurance and this entity would be providing the clean upon being booked by the apartment resident through my platform, chorrz.com. These cleaning providers would effectively be independent contractors and not my employees as CHORRZ is only the platform for seeing local cleaners to book a clean from. My question relates to which type of contract or agreement is suitable for this style of business? A Service Partnership Agreement or maybe an Independent Contractor Agreement? I’ll be partnering with cleaning businesses run by 1 person (the owner) and cleaning companies with multiple cleaners employed. Kind regards, Brian

Can a production company terminate a Production Services Agreement if the client fails to make timely payments?
I recently entered into a Production Services Agreement with a production company to produce a film. The agreement states that the client (me) is responsible for making timely payments for the services provided. However, due to unforeseen financial difficulties, I am unable to make the payments as agreed upon. I am concerned that the production company may terminate the agreement and I want to understand if they have the right to do so under these circumstances.

The short answer is: likley yes. The contract controls the relationship. I suspect the contract provides provisions that cover precisely this issue. Given your circumstances, a non legal solution is to talk to the other party and explain the concerns, and see if they are willing to negotiate another agreement so they get the payment and you get the services -- if on another schedule. I also recommend you consult with an attorney that specialized in contracs in your industry before things go south. Good luck.

Can I include a non-compete clause in a Business Purchase Agreement?
I am in the process of purchasing a small business and I am concerned about the seller potentially opening a competing business nearby and taking away my customers. I want to know if it is legally possible to include a non-compete clause in the Business Purchase Agreement to prevent the seller from engaging in similar business activities within a certain geographic area for a specific period of time after the sale is completed.

A non-compete clause is potentially enforceable in this situation. 1. It must be part of an otherwise enforceable agreement. 2. It cannot impose a restriction longer than 2 years 3.
