You can draft the agreement with some protections to ensure payment; however, you need to keep in mind that payment will always be contingent on whether they have money to pay or not. SaaS agreement and data ownership?
I am the founder of a small startup that is developing a software-as-a-service (SaaS) solution. We are in the process of negotiating a SaaS agreement with a potential customer and I am looking to understand what rights the customer will have to the data that they provide to us. We want to make sure that we are adequately protecting our intellectual property while also providing the customer with the ability to use the data they provide.

What's the entire agreement clause in a commercial lease?
I am a small business owner who recently signed a commercial lease for my business premises. I am concerned about the “entire agreement” clause in the lease, as I am not sure what it covers and what the implications are for me and my business. I am looking for clarification on the clause and any potential risks associated with it.

This is a contractual provision which aims to prevent the party relying on it from being liable for any statements or representations (including pre-contractual representations) except as expressly set out in the agreement. It generally precludes the introduction of parol evidence or evidences of other agreements that are not in writing.

Debt settlement agreement due diligence?
I recently entered into a debt settlement agreement with a company and I am concerned about the due diligence that was conducted by the company. I am worried that I may have been taken advantage of and I would like to know if the agreement is legally binding. I would also like to know what options I have if the agreement turns out to be invalid.

The only way to tell if your agreement is legally binding and what options you have is to have an attorney review it. However, if all the parties have signed the agreement, it is most likely legal.

I am concerned that the waiver might be too broad and not effectively protect my business from potential liabilities. Yes. If the state has laws that would limit liability or outline that certain conduct in that state would be the burden of the owner, that would be difficult and sometimes prohibited from being passed on to others
