I'm in general practice with an emphasis on real estate, litigation, and contracts
Michelle T.
I am an experienced, well-rounded attorney with a background specializing in trusts and estates, contracts and business law. I have extensive experience working with simple contracts all the way up to multi-million dollar deals.
"Michelle drafted an excellent and unique Post Nuptial agreement which outlines a very specific "process" that will be used to divide assets in the event of divorce. Since assets can change value daily, traditional "splitting an asset list" methods are often outdated within a week of signing. Michelle rose to the challenge at a very reasonable price. Other, "meter man" attorneys would have charged at least 5x more. I highly recommend Michelle!"
Cherie M.

"I was very pleased with Cherie. The work was done in a timely fashion and was exactly what I needed. I intend to hire her again in the very near future."
Randy M.
Hi, I'm Randy, and I've been practicing law for over 30 years with a genuine passion for contracts and legal drafting. I spent nearly 15 years running my own solo practice in Richmond, Virginia, where I built a thriving firm helping everyone from small business owners to entertainment professionals navigate their legal needs. Those years taught me that great contracts aren't just about covering all the bases legally - they're about understanding what my clients actually need and translating that into clear, enforceable agreements. My sweet spot is contract drafting across a wide range of areas. I've written hundreds of LLC operating agreements (both single and multi-member), prenuptial and postnuptial agreements, residential and commercial leases, independent contractor agreements, service contracts, NDAs, consulting agreements, and corporate formation documents. I also have extensive experience in estate planning documents - wills, trusts, powers of attorney, and living wills - plus employment agreements and entertainment law contracts. These days I'm based in New York City, but I work with clients nationwide on contract matters. What I love most about this work is taking complex business relationships and turning them into documents that actually make sense and protect everyone involved. Whether you're a startup founder needing your first operating agreement or an established business updating your contractor templates, I focus on creating contracts that work in the real world, not just on paper. After three decades of practice, I still get excited about a well-crafted contract. Let's talk about how I can help with yours.
"Randy did an excellent job reviewing our Nanny Agreement. He brought up issues we wouldn't have thought of otherwise. Highly recommend for his thoroughness and responsiveness!"

I won a $13,500,00.00 PCH sweepstakes recently. What type of lawyer do I need? I live in Burke, VA (Fairfax County)
I need guidance on managing such a large sum of money. I have retired from the USMC/Customs & Border Protectrion, and I am getting Social Security also. I am receiving $114,000 @ year before taxes in pension funds. I live with a disabled 46 year old daughter as her caretaker. I am paying mortgage on my home, and I have a large student loan requiring monthly payments.

Congratulations on your win! To answer your question simply, you'll need a lawyer as one part of a larger team which would include an accountant, financial advisor. and insurance agent. Your lawyer should be versed n taxes, estate planning, trust formation, and asset protection.

Promissory Note
California
What happens to convertible note if startup fails?
I have a startup and am looking to raise money from investors. If we fail, are we going to be liable for anything if we raise money on a convertible note?
Michael M.
Typically, if the business fails, the note can then not be converted or repaid. Unless you have personally guaranteed the obligation which would be unusual, the recourse would be against the entity itself.

LLC Operating Agreement
California
Can an LLC operating agreement be modified without the unanimous consent of all members?
I am a member of an LLC and we currently have an operating agreement in place that outlines the rights and responsibilities of each member. However, there have been some changes in the business and I believe that certain provisions of the operating agreement need to be modified in order to better reflect our current needs and goals. Some members are resistant to these changes and I would like to know if it is possible to modify the operating agreement without obtaining unanimous consent from all members, and if so, what steps need to be taken to make these modifications legally binding.
Dolan W.
Hello! My name is Dolan and I'm happy to help. Generally, an agreement can't be modified without the consent of the parties involved and additional consideration included (e.g. something in exchange). Whether the operating agreement can be changed depends on the terms itself. The parties can agree that only a majority vote is needed or may require a unanimous agreement for something like this. We can review the operating agreement for you and let you know what your rights are and offer some advice. Best of luck!

Do you have experience creating corporate structures for individuals (family trusts, holding companies, LLC, etc.) Also, experience with American citizens living in Portugal and digital assets would be a bonus.
Hi I am living with my wife, who together operate an LDA (Portuguese equivalent to LLC) in Lisbon at this current time. We are interested in finding an attorney to assist in the creation of a Family Trust and LLC in the United States to put our development and rental properties under.

I have extensive experience creating LLCs for clients. I am also an experienced elder law attorney who understands estate planning and how a family trust and LLC can work with your estate planning goals.

Book Publishing Agreement
California
Can a book agreement be terminated if the publisher fails to meet the agreed-upon publication deadlines?
I entered into a book agreement with a publishing company to publish my manuscript, and the agreement included specific publication deadlines. However, the publisher has repeatedly failed to meet these deadlines, causing significant delays in the release of my book. This has not only affected my reputation as an author but also caused financial losses. I would like to know if I have grounds to terminate the book agreement due to the publisher's failure to meet the agreed-upon publication deadlines.
Dolan W.
Hello! My name is Dolan and thanks for choosing contractscounsel.com! It’s super frustrating when a publisher doesn’t meet their deadlines, especially when it messes with your reputation and finances. Whether you can end the agreement depends mostly on what’s in your contract. Check to see if it says anything about what happens if the publisher misses deadlines. If the deadlines were key to the deal and their delays are considered a major breach (something that defeats the purpose of the contract), you might have a solid case to terminate. Most contracts require you to give formal notice of the problem and allow time for the publisher to fix it (a “cure period”). If they still don’t deliver, you’re in a better position to end things. If it turns out they are continually failing, this is a breach of contract. A breach of contract simply means that one party was obligated to perform and they have either not performed or have said that they will not perform. (Restatement (Second) of Contracts.) This applies regardless of whether the agreement was written or done orally. Typically, the aggrieved party is entitled to be returned to the same position they were in before the breach. I hope this helps and let us know if you need to review. Dolan
