I absolutely love helping my clients buy their first home, sell their starters, upgrade to their next big adventure, or transition to their next phase of life. The confidence my clients have going into a transaction and through the whole process is one of the most rewarding aspects of practicing this type of law. My very first class in law school was property law, and let me tell you, this was like nothing I’d ever experienced. I remember vividly cracking open that big red book and staring at the pages not having the faintest idea what I was actually reading. Despite those initial scary moments, I grew to love property law. My obsession with real estate law was solidified when I was working in Virginia at a law firm outside DC. I ran the settlement (escrow) department and learned the ins and outs of transactions and the unique needs of the parties. My husband and I bought our first home in Virginia in 2012 and despite being an attorney, there was so much we didn’t know, especially when it came to our HOA and our mortgage. Our real estate agent was a wonderful resource for finding our home and negotiating some of the key terms, but there was something missing in the process. I’ve spent the last 10 years helping those who were in the same situation we were in better understand the process.

Purchase Agreement

California

Asked on Oct 4, 2022

When asset purchase agreement vs. stock purchase agreement?

I am considering buying a business and I'm not sure what type of legal document I should use. I think I want to buy the business but I'm not sure what comes with that. The deal size is ~$100k and it is a printing company.

Michael M.

Answered Oct 7, 2022

The nature of the purpose is of essential importance in any acquisition and the first decision that should be made. The 2 traditional types are either "asset" or "stock". In a stock transaction you purchase the shares of the corporation or membership interests of an LLC. In an asset sale, only assets are acquired. Each of these has major tax and liability implications that should be discussed with counsel and your cpa.

Assignment Of Partnership Interest

California

Asked on Oct 29, 2024

Can a partner assign their interest in a partnership to another person without the consent of the other partners?

I am a partner in a small business partnership and I recently discovered that one of my partners plans to assign their interest in the partnership to a third party without informing or seeking consent from the other partners. This raises concerns for me as we have a close-knit working relationship and I believe that such a significant change in ownership should require the approval of all partners. I would like to know if it is legally permissible for a partner to assign their interest in a partnership without the consent of the other partners, and what actions can be taken to protect the interests of the remaining partners in such a situation.

Dolan W.

Answered Dec 6, 2024

Hello! My name is Dolan and I'm happy to answer this question. The short answer? Whether your partner can assign their interest without your consent depends on your partnership agreement. Most agreements require all partners to approve something like this, especially in a close-knit setup like yours. If there’s no agreement or it doesn’t cover this, state law usually allows a partner to transfer their financial stake (like profits and losses) but not their management rights or status as a partner without everyone’s okay. First, check your partnership agreement to see if this move breaks the rules. If it does, you can push back. If there’s no agreement, the new person likely can’t step into full partnership status without your consent. To avoid issues like this in the future, consider updating the agreement to require unanimous approval for transfers. If things get messy, a lawyer who knows partnership law can help you sort it out and protect your business. We can update your agreement, or at least revise it, on this site. Thanks so much! Dolan

LLC Articles of Organization

Texas

Asked on Oct 25, 2023

What is LLC formation?

I am in the process of starting a business and am looking to protect my personal assets from any potential liabilities of the business. I have heard that setting up a LLC can help with this, but I am not sure what it entails. I am looking to learn more about LLC formation and to understand the benefits and drawbacks of this type of business structure.

Jimmy V.

Answered Nov 21, 2023

LLC formation means the process by which one sets up an LLC. The process begins with a filing with the state. The filing is usually called Articles of Organization. The LLC must then adopt an Operating Agreement which is much like a partnership agreement. Finally, the LLC will need to obtain an Employer Identification Number from the IRS.

Liquor License

California

Asked on Oct 23, 2024

Can a restaurant owner transfer their liquor license to a new location?

I am a restaurant owner and I am considering relocating my business to a new location within the same city. I currently have a liquor license for my existing establishment and I would like to know if it is possible to transfer this license to my new location, or if I would need to go through the application process again. I have invested a significant amount of time and money in obtaining the current license and I want to ensure that I can continue serving alcohol at my new establishment without any legal issues or delays.

Dolan W.

Answered Dec 6, 2024

Hello! My name is Dolan and I'm happy to help. As a restaurant owner in California planning to move within the same city, you can transfer your existing liquor license to the new spot through a "premises-to-premises" transfer. This involves applying to the California Department of ABC for approval. The ABC will check both your qualifications and whether the new location fits their standards. Keep in mind, that applying doesn't guarantee approval; the ABC might deny the transfer if the new place doesn't meet their criteria. To get started, you'll need to submit specific forms and fees to your local ABC district office. The process usually includes posting a public notice at the new location for 30 calendar days and possibly informing nearby residents, depending on local rules. Typically, the whole process takes about 55 to 65 days, but it can be longer if there are protests or other issues. Remember, during the transfer process, you must follow all ABC regulations, including paying any necessary renewal fees to keep your license active. If your current place is closed for 15 consecutive days, you're required to surrender your license to the ABC within that time. However, during the surrender period, which can last up to a year, you can transfer the license to another location or person, as long as all renewal fees are paid. I hope this helps! Thanks again! Dolan .
