Note Payable
Virginia
I loaned money to a 5013c organization, I want a lawyer to look over the contract, worried about them defaulting on it
I am worried about a 5013c organization defaulting on a promissary note, they do not seem to have their act together, want to have a lawyer look over the promissary note and get advice on what happens if they default on it
Donya G.
Sure. I take it they have not yet signed as yet? You can draft the agreement with some protections to ensure payment; however, you need to keep in mind that payment will always be contingent on whether they have money to pay or not. I am a contracts attorney and if you you would like my services, you can contact me on the contracts counsel website, or post your job on the website and attorneys will respond to your job. Terms and Conditions
Florida
Why are terms and conditions long?
I am a small business owner who is in the process of creating a website for my business. I have been researching terms and conditions for websites, and I noticed that most of them are very long. I want to make sure that my terms and conditions are comprehensive to protect my business, but I am worried that if they are too long, customers may not read them. That is why I am asking why terms and conditions are so long.
Diane D.
Because every type of situation needs to be covered to protect you. That cannot be done in a paragraph or two.

Independent Contractor Agreement
Illinois
How to ensure fairness in a contractor agreement?
I am an independent contractor that is about to enter into an agreement with a company. I am looking to ensure that the agreement is fair and beneficial for both parties. I want to make sure that my rights and responsibilities are clearly outlined in the agreement and that I am not being taken advantage of. I am looking for advice on how to ensure that the agreement is fair and equitable.
Jeffrey A.
You're correct that your agreement should be fair and beneficial to both parties involved. Often, however, when an independent contractor receives an agreement from a company, that proposed agreement has been drafted to be favorable to the company, because that's the company's primary interest. In order to ensure the agreement is fair and equitable, you'd need to identify the business and legal provisions that are drafted in a way that protects the company but not you, and either strike those provisions entirely (if the terms are unreasonable), or suggest they be written in a mutual form. Some common examples of these provisions are warranty disclaimers, indemnity, limitation of liability, and exclusivity.

Demand Letter For Payment
New Jersey
I provide$5000 deposit to reserve an apt for my mother in an ALF. Was gold it would be returned if she needed a higher level of care, which she did. they refused to refund
When I asked why they could not reimburse even part of the deopost becasue she needed a higher level of care, they then told me that the $5000 had already been paid to the attorney who propared the promissary note. I have researched the cost of promissory notes and they run at abbout $575 max, I then asked if tthat money could be put toward her goin to the faciity once she had become more stable and they said they would look intoit and never got back to me.
Michael J.
I am sorry to hear about this situation. Your rights will be primarily dictated by the terms of the contract you signed when you gave the deposit, as well as any subsequent written communications with them. Assuming the terms therein are favorable, a demand letter from an attorney setting forth what specially you want from them and why it’s permitted is the best chance you have of getting this resolved quickly in your favor.
