Can a waiver signed by a participant in a recreational activity protect the activity organizer from liability for injuries caused by their negligence?

I recently participated in a recreational activity organized by a local company, and before participating, I was required to sign a waiver releasing the company from any liability for injuries. During the activity, I sustained a serious injury due to the organizer's negligence in maintaining the equipment. I am now wondering if the waiver I signed is legally enforceable and if it can absolve the company from responsibility for their negligence, or if I still have grounds to seek compensation for my injuries.

I am very sorry to hear about your injuries, and wish you a speedy and quick recovery. Many attorneys who practice full-time in personal injury law (I'm not one of them) can overcome a release and waiver. Moreover, it's often possible to go after more than just the company in this type of circumstance - there's the company, but there's also the Board, there are individual employees, and there is the manufacturer of any equipment uses (this would be a products liability matter). In Washington, you have at least a year to sue for personal injury. I recommend that you talk with at least three personal injury attorneys. They will want you to have a time line of the event and all the medical treatment you received, and will want to see all your medical records. You don't need someone in your county - it can be anyone licensed in WA State.

Can a SaaS reseller agreement be terminated by the software provider without cause?

Can a SaaS reseller agreement be terminated by the software provider without cause? I am a software reseller who has entered into a reseller agreement with a SaaS provider. The agreement does not specify any termination clauses or conditions, but it also does not explicitly state that the software provider can terminate the agreement without cause. Recently, the software provider informed me that they will be terminating the agreement without providing any specific reason. I am concerned about the potential impact on my business and want to understand if the software provider has the legal right to terminate the agreement without cause, and if so, what my options are moving forward.

Hi. The answer is entirely dependent on the agreement’s language. Without seeing the contract, it’s impossible to give you a complete answer. Generally, an agreement can only be terminated by it’s own conditions, and absent a specific termination clause, it can usually be terminated either due to a breach of the agreement or by suing for breach and asking for termination as the result (so-called “equitable relief”). But with a reseller agreement, there are lots of new variables, as you’re not a user of the product… questions about to who and when you can resell., specific product versions, support provisions, etc. And there’s also a general prohibition against contracts of servitude, requiring an indefinite provision of personal services (which a SaaS contract could be argued to be). So again, the contract language is critical.

I have recently been offered a job, and the employment contract I have been provided with states that I am entitled to personal leave. I am not sure what this is, or what it entitles me to. I would like to know what rights and responsibilities I have regarding personal leave, and what the employer's expectations are of me with regards to this leave.

Personal leave sometimes replaces vacation and sick time. Some employers just give employees time off for whatever reason the employee chooses. To know more about the rights and responsibilities, you should speak to HR at your new employer who will help you with the employer's expectations and your rights under the leave provision in your contract. Also, look at your contract as it may provide insight as to how to implement the leave. When in doubt, speak to HR. Thanks.

This is a contractual provision which aims to prevent the party relying on it from being liable for any statements or representations (including pre-contractual representations) except as expressly set out in the agreement. It generally precludes the introduction of parol evidence or evidences of other agreements that are not in writing.
