"Michelle drafted an excellent and unique Post Nuptial agreement which outlines a very specific "process" that will be used to divide assets in the event of divorce. Since assets can change value daily, traditional "splitting an asset list" methods are often outdated within a week of signing. Michelle rose to the challenge at a very reasonable price. Other, "meter man" attorneys would have charged at least 5x more. I highly recommend Michelle!"

Hi, I'm Randy, and I've been practicing law for over 30 years with a genuine passion for contracts and legal drafting. I spent nearly 15 years running my own solo practice in Richmond, Virginia, where I built a thriving firm helping everyone from small business owners to entertainment professionals navigate their legal needs. Those years taught me that great contracts aren't just about covering all the bases legally - they're about understanding what my clients actually need and translating that into clear, enforceable agreements. My sweet spot is contract drafting across a wide range of areas. I've written hundreds of LLC operating agreements (both single and multi-member), prenuptial and postnuptial agreements, residential and commercial leases, independent contractor agreements, service contracts, NDAs, consulting agreements, and corporate formation documents. I also have extensive experience in estate planning documents - wills, trusts, powers of attorney, and living wills - plus employment agreements and entertainment law contracts. These days I'm based in New York City, but I work with clients nationwide on contract matters. What I love most about this work is taking complex business relationships and turning them into documents that actually make sense and protect everyone involved. Whether you're a startup founder needing your first operating agreement or an established business updating your contractor templates, I focus on creating contracts that work in the real world, not just on paper. After three decades of practice, I still get excited about a well-crafted contract. Let's talk about how I can help with yours.

Demand Letter

Georgia

Asked on Sep 15, 2023

Demand letter before litigation?

I am considering sending a demand letter to a company that I believe has wrongfully taken money from me. I want to know if a demand letter is necessary before I can pursue litigation against them. I have already sent them a letter asking for the money back, but I haven't received a response. I am now considering taking legal action and want to know if a demand letter is necessary before I do so.

Gregory F.

Answered Oct 10, 2023

No, a demand letter is not necessary before filing suit, but a demand letter sent by an attorney can carry more weight and be more effective than one you send on your own. I suggest you consult with an experienced Georgia litigation attorney, such as myself, to discuss your specific situation before deciding on your next steps.

Demand Letter

Georgia

Asked on Sep 15, 2023

What is a demand letter?

I recently received a letter from a collection agency demanding payment for an outstanding debt. I am unsure if this is a demand letter, or if there is a different type of letter I should be expecting. I am looking for clarification on what a demand letter is so that I can better understand the situation and take the appropriate steps to resolve this debt.

Gregory F.

Answered Oct 10, 2023

What you are describing certainly sounds like a demand letter. A demand letter is simply a demand for payment of money or damages you are claimed to owe in exchange for avoiding legal action. I strongly recommend you consult with an experienced GA litigation attorney, such as myself, before deciding on your next steps.

Lease Contract Agreement

Texas

Asked on Jun 30, 2022

What is the maximum that can be sued for in TX small claims from a commercial landlord withholding security deposit in bad faith?

I recently relocated my office and the old locations’ landlord is withholding my security deposit in bad faith, no itemized deductions for any claimed repairs, and no supporting documentation for anything reasons they are using to hold my deposit. I would like to send a demand letter to them and then prepare for small claims. I just have a question on how much i am allowed to sue for. I heard it is something like 3x of the amount, plus all other reasonable fees. Would like some counsel here.

Kelvin R.

Answered Aug 2, 2022

Justice Courts have jurisdiction of civil matters in which the amount in controversy is no more than $20,000 (or $10,000 if the case was filed prior to September 1, 2020), exclusive of interest and court costs, but including attorney fees, if any. I presume someone has mentioned to you theories of treble damages recoverable under the Texas Deceptive Trade Practices-Consumer Protection Act (DTPA) for knowing and intentional deceptive acts. While the DTPA is a broad, ranging statute, it cannot convert what appears a purely a breach of contract claim into a DTPA claim (in most instances) absent an separate act by the landlord. You should consult a contracts / DTPA lawyer who can help you evaluate the viability of your claims. Start with your lease agreement. Hope this helps. Kelvin www.roqski.com

Retainer Agreement

Maryland

Asked on Jul 5, 2022

either in a flat fee or with a retainer, do attorneys charge for wait time in court/travel time to and from?

Have a protective order hearing coming up. I have the option of using a lawyer with no retainer agreement, but a deposit and an hourly rate or one with a retainer deposit and an agreement. In either case, is wait time in court charged at the hourly rate?how about travel time?

Michael T.

Answered Jul 19, 2022

Generally speaking, we charge for all time spent on a file. If I'm away from my desk for your case, then I can't work on other cases. So, yes, a five-minute hearing in court might result in a two-hour bill, because that was two hours dedicated to your case. That's why lawyers like to schedule multiple cases for the same hearing: we can pro-rate the travel and waiting time over multiple cases. Flat fees do not normally get a charge for travel or waiting time, because that time is included in the flat fee. A lot of judges start their hearings by "calling the docket" (bringing up each case one by one) and getting time estimates; then calling the cases beginning with the shortest time estimates. Some judges leave all the cases without lawyers to the end. This results in (A) the people involved in cases without lawyers see how it's done; and (B) the lawyers spend less time sitting around waiting and go back to being productive.

Business Contract

New York

Asked on Nov 30, 2024

Can a business contract be terminated if one party fails to fulfill their obligations?

I run a small business and recently entered into a contract with a supplier for the purchase of raw materials. However, the supplier has consistently failed to deliver the agreed-upon quantities of materials on time, causing significant delays in our production process. This has resulted in financial losses for my business. I would like to know if I have the right to terminate the contract due to the supplier's breach of their obligations, and what steps I need to take to do so in a legally appropriate manner.

Danny J.

Answered Dec 18, 2024

In general, a business contract can be terminated if one party fails to fulfill their obligations, which is known as a material breach of contract. However, the specifics depend on several factors: 1. Contract terms: The agreement may include specific provisions for termination in case of breach. 2. Materiality of the breach: The failure must be significant enough to undermine the contract's purpose. 3. Notice and cure periods: Some contracts require giving the breaching party notice and an opportunity to rectify the situation. 4. Documented evidence: It's crucial to have clear documentation of the breach and its impact on your business. 5. Legal requirements: Proper procedures must be followed to terminate the contract legally. The situation you've described - consistent failure to deliver agreed-upon quantities on time, causing significant delays and financial losses - could potentially constitute a material breach. However, determining whether you have the right to terminate and the appropriate steps to take requires a thorough review of: - The specific contract terms - The extent and impact of the supplier's failures - Any communications between you and the supplier regarding these issues - Applicable state and federal laws Given the complexity of contract law and the potential consequences of improperly terminating a contract, it would be advisable to consult with a legal professional. They can review your specific situation, assess the strength of your position, and guide you through the appropriate steps to protect your business interests.
