I am looking for a new job, but I am concerned about the restrictions in the Noncompete Agreement and how it might affect my ability to find a new job. I am looking for advice on my options for terminating or modifying the Noncompete Agreement so that I can find a new job without having to worry about any potential legal repercussions.

I am a WA State employment attorney. If you didn’t receive anything in return for signing the non-compete, it may be relatively easy to get out of it. If, however, you signed in return for something, such as a severance package, it will be challenging to get out of the agreement. However, many non-compete agreements are written overly broadly and may not be enforceable under the laws of WA and other states. You may want to consult with a WA State employment attorney for a review of the documents and law(s) of the state(s) where you may want to work or set up a business. (A WA State attorney can only provide legal advice in WA, but can help you find applicable law/case decisions for other states but without providing anything beyond information, much like a law librarian).

Offer letters generally have similar language in that they offer you a specific job at a specific price point. However, these letters are not always standardized and you should read the letter carefully to understand what is being offered.

Is an arbitration agreement enforceable if I signed it without fully understanding its implications?
I recently signed an employment contract that included an arbitration agreement, but I did not fully comprehend the implications and consequences of such an agreement. I was not provided with sufficient time to review the contract or seek legal advice before signing. Now I am concerned about the enforceability of the arbitration agreement and whether I have any recourse to challenge it. Can you please advise me on the potential options I have in this situation?

The short answer is: likely yes. A contract is such that there has to be a "meeting of the minds" as to the terms of contract. Understanding that you were under some pressure from your employer to sign, there is likely a provision that says you read and comprehended the contract overcoming the argument that you did not understand. There are sometimes options to avoid the arbitration clauses, but they are state and contract specific. If the time comes when you think the arbitration clause is going to be trigger, speak with a local employment lawyer to figure out how to pull that trigger. Good luck.

I am a small business owner and recently had to let go of an employee. I need to ensure that all of our interests are protected and that everything is done according to the law. I am looking for guidance in drafting an employee separation agreement that would be suitable for both parties.

Generally speaking, an employee separation agreement should address rights, responsibilities, and restrictions. As applicable, this typically includes pay and benefits (such as final pay, severance pay or garden leave pay, COBRA, 401K, and stocks); return of company property; release of claims; and restrictive covenants (such as non-competition, non-disclosure/confidentiality, and non-disparagement). The agreement may also include other agreed-upon or required terms (such as eligibility for rehire and reference to the Age Discrimination in Employment Act/Older Worker Benefit Protection Act). This is just general guidance, as what is most appropriate for an employee separation agreement varies depending on specific circumstances.
