Legal Documents Guide
Software development business legal documents are related to a business that designs, develops, and maintains applications and other software components. Such companies develop the software and other applications depending on the specific user or client requirements. Let us learn more about the legal documents required for a software development business below.
Legal Documents Needed for a Software Development Business
Most software development businesses also offer consulting and strategy services. This requires them to have some legal documents like:
- Independent Contractor Agreement : This document is used by a company hiring another individual to provide a particular professional service. It defines the key terms of the business relationship: who gets paid what and when and what is the scope of the respective contractor’s work within the software development business.
- Letter of Intent : These agreements establish two parties’ preliminary agreement to high-level terms of a deal they intend to document in more depth later once all of them have negotiated further. These documents are extremely useful tools to use early in a complex negotiation.
- Master Services Agreement : These documents are often used by software development companies that do repeat or ongoing work for the same client repeatedly. In these cases, it makes no sense to repeatedly negotiate lengthy contracts each time they do a project together if the two companies know they will be working together for some time.
- Non-compete Agreement: This legal contract specifies that an employee must not enter into competition with an employer after the specific employment period is over. These agreements also prohibit the same employee from revealing any kind of proprietary information or secrets to any other parties during or after employment.
- Non-solicitation Agreement : These documents require one person or the software development company not to steal customers away from the other entity. Most companies often require their employees to agree to that for a period after leaving the company. So, they will not try to poach their former employer’s customers during this time. They must also promise not to try to hire their former coworkers away as well.

Experienced sports and entertainment attorney. I specialize in contracts, business formation, licensing, wage disputes, negotiations, and intellectual property.
"Sunnita was very prompt with clear revisions showing what needed to be updated and explaining why. Also, she made sure my documents weren't generalized, but fit Georgia's laws and are specific enough to hold up in court. All of my questions were answered and she stayed in communication with the message feature. I really appreciated that she didn't try to overcharge me for her service. I'll use her for my projects going forward, great experience."
