Max K.
I am a business attorney and former in-house corporate attorney with more than a decade of experience helping companies navigate contracts, commercial relationships, day-to-day operations, and disputes. My practice includes drafting, reviewing, and negotiating commercial agreements, licenses, leases, vendor and service agreements, and other business arrangements. Licensed in Nevada, California, New York, and Texas, I also hold an Executive MBA. My goal is to serve as practical, long-term outside counsel to small businesses and entrepreneurs that value responsiveness, sound judgment, and advice grounded in commercial realities - not merely technical legal answers. I handle disputes when necessary, but much of the value I bring lies in identifying issues early, preserving business relationships, and preventing avoidable conflicts. I do not bill separately for routine phone calls. I want clients to feel comfortable calling before a small concern becomes an expensive problem, and I am always happy to have an initial conversation to see if the fit is right for you. www.linkedin.com/in/maxkelner

Briana C.
Legal services cost too much, and are often of low quality. I have devoted my law practice to providing the best work at the most affordable price—in everything from defending small businesses against patent trolls to advising multinational corporations on regulatory compliance to steering couples through a divorce.
"Briana was responsive and quick to put the draft together. It has been a pleasure working with her!"

Adam J.
I'm a California-licensed attorney with 18+ years of experience helping everyone from Fortune 500 companies and venture-backed startups to individuals navigating real-life legal situations. I bring an high degree of emotional intelligence to every matter, and am also certified as both a coach and as a counselor. My career started at Fenwick & West, one of Silicon Valley's top law firms, where I worked alongside names like Google, Airbnb, Kleiner Perkins, and Sequoia Capital. From there I moved in - house at companies like Cloudflare, Autodesk, and Enphase - which gave me a practical, business-minded perspective that I bring to every client, no matter the size of the matter. Today I work with businesses and individuals alike. On the business side, that means commercial contracts, leases, startup corporate work, and serving as a fractional general counsel for companies that need a trusted legal partner without the overhead. On the personal side, I help individuals with employment matters, disputes, demand letters, contract review, and the kind of everyday legal situations where you just need someone knowledgeable in your corner. I'm direct, responsive, and I speak plain English — not legalese. Whether you're a founder closing your first deal or an individual facing a situation you've never navigated before, I'll give you the same level of attention and care.
"Adam Jacobowitz is an outstanding attorney. He was honest, knowledgeable, and thorough from the beginning, setting realistic expectations while developing a strong legal strategy. He carefully researched the issues, strengthened my arguments, and ensured every factual and legal point was accurate. What impressed me most was his responsiveness and genuine commitment to helping. He even assisted with an urgent matter outside the original scope of our engagement. If you're looking for an attorney who is professional, ethical, strategic, and truly cares about his clients, I highly recommend Adam Jacobowitz."
Nick G.
My name is Nick Gleason, and I’m an attorney licensed in California and a veteran of the United States Navy. While in law school, during my clerkship with Mob Entertainment, I worked under the General Counsel, drafting cease and desist letters, demand letters, and assignment and licensing agreements. I also worked with outside counsel on copyright infringement matters, helping to protect the interests of the company. Now in my professional practice, I continue to help clients like you protect your interests by offering affordable legal representation for all your contract and copyright needs. I can draft contracts, review proposed agreements for vulnerabilities, and negotiate terms on your behalf, as well as prepare effective cease and desist letters and demand letters tailored to your situation, including in copyright and DMCA-related matters. I will always be fair and transparent with my fees. I’d love to hear from you.

Carver F.
I'm the principal attorney at FarrowLaw PC, a California business and commercial law firm based in Long Beach. My practice covers transactional work, employment law, litigation, and day-to-day advisory matters for business clients — essentially, I help companies make clear-eyed decisions about risk, contracts, and strategy without the usual legal hedging. Before law, I trained in computer science and worked in-house at technology companies, which gives me a working fluency in how tech businesses actually operate. A significant portion of my practice involves representing tech and startup clients, where that background lets me engage with technical realities rather than abstract them away. If you're working with a client who needs a practical California business lawyer — particularly one who speaks the language of tech — I'd welcome the introduction.

Find Promissory Note Agreement Templates by Type
As a lawyer with a background in contract drafting and litigation, I created this template settlement agreement to help you formalize a resolution to a legal dispute. I also have legal services packages set up if you need additional help with the template (i.e., reviewing it after you filled it out, needing help filling it out, etc.).
Overview of the Template Simple Promissory Note
You can use my template simple promissory note to memorialize a loan agreement, or to borrow money (with or without interest). My simple promissory note lays out all the relevant terms, rights and obligations of the loan, from the amount of the loan itself to the agreed-upon repayment plan.
For context, a proper promissory note should include information such as the amount and date of the loan, the names of the parties (i.e., the lender and borrower), the interest rate on the loan and its beginning date. Your promissory note should also describe how the loan will be paid (e.g., in installments of principal and interest, in installments of interest only, in one lump sum on a specific date, due on demand, etc.).
What is Included in the Template Simple Promissory Note?
My template simple promissory note contains key provisions to help formalize the terms of the loan. For example, my template simple promissory note identifies the value to be received by the borrower and the express promise that the borrower will repay the loan to the lender, along with interest at a specified rate.
My template simple promissory note also contains important language about the payment terms, including the need to repay both the principal and accrued interest. This section also details when loan payments are due and the amount to be paid each month. In addition, there are provisions addressing what steps the lender can take in the event the borrower defaults on the loan and which state law governs the promissory note.
All of the provisions in my template settlement agreement are modifiable so it can be used to accommodate any unique aspects of the loan agreement. I’ve also included recommended language that can be used to fill in specific sections, such as the payment terms.
Who Should Use the Template Simple Promissory Note?
My template simple promissory note was drafted in manner to enable use by any party seeking to formalize a loan agreement, whether that be a lender or borrower.
Benefits of Using the Template Simple Promissory Note
My template simple promissory note was designed for simplicity, clarity, and to be user-friendly. These features can help both the borrower and lender reach an agreement on the parameters of a loan in clear, understandable language.
Having a formalized promissory note is helpful since it memorializes the terms and conditions of the loan agreement and can be used as evidence in the event a legal dispute arises between the borrower and lender.
If there is a legal dispute surrounding the terms of the promissory note, you may need to escalate the matter to litigation. If that situation arises, having an experienced attorney by your side can pay dividends. My legal services are available. If hired, I will be there for you every step of the way, offering clear communication, accurate legal guidance, and proactive solutions.
