Randy M.
Hi, I'm Randy. I've been practicing law for over 30 years, with extensive experience drafting, reviewing, and revising contracts for individuals, entrepreneurs, and businesses. I spent nearly 15 years running my own law practice in Richmond, Virginia, where I represented small business owners, professionals, entrepreneurs, and clients in the entertainment industry. That experience taught me that a good contract must do more than address legal requirements. It should clearly define the parties' rights and obligations, anticipate practical problems, and protect my client's interests if the relationship does not go as planned. Contract drafting and review are major parts of my practice. Over the course of my career, I've drafted and reviewed hundreds of agreements. I also review contracts prepared by other attorneys, businesses, and individuals to identify legal issues, assess enforceability, and identify potential compliance issues under current applicable law. My experience includes: • Prenuptial and postnuptial agreements • Employment and independent contractor agreements • LLC operating agreements for single-member and multi-member LLCs • Consulting, coaching, freelancer, and professional services agreements • Residential and commercial leases • NDAs and confidentiality agreements • Entertainment industry agreements • Business formation and corporate documents • Other commercial and business contracts I also have substantial experience preparing estate planning documents, including wills, trusts, powers of attorney, and advance medical directives. I'm currently based in New York City and am licensed to practice law in Virginia. I work remotely with clients on contract projects across the country. My approach is practical and straightforward. I take the time to understand the transaction, the client's objectives, and the risks that need to be addressed. I then draft an agreement that is clear, thorough, and usable in the real world. Whether you need a new agreement drafted, an existing contract reviewed, or revisions to a document you are negotiating, I can help you identify the important issues and prepare a contract that reflects your objectives. I would be glad to discuss your project and how I can help.
"I had a great experience working with Randy. I had a long, somewhat aggressive non-competition employer agreement for a job offer that I wanted to take. He reviewed every point of the agreement within the agreed timeline and provided a very detailed and specific report about the various risks and practical effects it could have on my future career. He even offered very reasonable suggestions to the terms to negotiate for before signing the offer letter. I am very pleased with the outcome and it allowed me to sign the job offer without fear of a clause that I didn't understand."

Rebecca S.
I absolutely love helping my clients buy their first home, sell their starters, upgrade to their next big adventure, or transition to their next phase of life. The confidence my clients have going into a transaction and through the whole process is one of the most rewarding aspects of practicing this type of law. My very first class in law school was property law, and let me tell you, this was like nothing I’d ever experienced. I remember vividly cracking open that big red book and staring at the pages not having the faintest idea what I was actually reading. Despite those initial scary moments, I grew to love property law. My obsession with real estate law was solidified when I was working in Virginia at a law firm outside DC. I ran the settlement (escrow) department and learned the ins and outs of transactions and the unique needs of the parties. My husband and I bought our first home in Virginia in 2012 and despite being an attorney, there was so much we didn’t know, especially when it came to our HOA and our mortgage. Our real estate agent was a wonderful resource for finding our home and negotiating some of the key terms, but there was something missing in the process. I’ve spent the last 10 years helping those who were in the same situation we were in better understand the process.
"Rebecca you were awesome I appreciate you working with me and helping me get this done. I look forward to working with you in the future."

I hold a B.S. in Accounting and a B.A. in Philosophy from Virginia Tech (2009). I received my J.D. from the University of Virginia School of Law in 2012. I am an associate member of the Virginia Bar and an active member of the DC bar. Currently, I am working as a self-employed legal consultant and attorney. Primarily my clients are start-up companies for which I perform various types of legal work, including negotiating and drafting settlement, preparing operating agreements and partnership agreements, assisting in moving companies to incorporate in new states and setting up companies to become registered in a state, assisting with employment matters, drafting non-disclosure agreements, assisting with private placement offerings, and researching issues on intellectual property, local regulations, privacy laws, corporate governance, and many other facets of the law, as the need arises. I have previously practiced as an attorney at a small DC securities law firm and worked at Deloitte Financial Advisory Services LLC. My work experience is dynamic and includes many short-term and long term experience that span across areas such as maintaining my own blog, freelance writing, and dog walking. My diverse background has provided me with a stong skill set that can be easily adapted for new areas of work and indicates my ability to quickly learn for a wide array of clients.

Find Non-Disclosure Agreement Templates by Type
As an attorney with over a decade of practical legal experience, I created this Mutual Non-Disclosure Agreement (NDA) template for use in various business transactions and engagements.
Overview of the Mutual NDA (Business) Template
For context, an NDA is a binding contractual agreement that requires the signing parties to keep specific types of information confidential. A Mutual NDA is often used when both parties involved in a transaction want to protect the confidentiality of certain information.
When someone signs an NDA and subsequently receives confidential information, the NDA serves as a memorialized record expressly agreeing that the parties will not reveal or share confidential information to any unauthorized individual, or organization. If the recipient of confidential information violates the NDA by failing to retain the private-nature of the information, then there may be grounds for you to pursue damages through a lawsuit.
What Is Included in the Mutual NDA Template
My mutual NDA template is customizable to your particular business transaction. The mutual NDA template is helpful since it provides guidance on what elements need to be incorporated into the agreement and offers tips on how to craft certain provisions. For example, the mutual NDA template devotes a section to identifying the parties involved in the transaction and sets forth the importance of preventing the unauthorized disclosure of confidential information. The template contains a modifiable section that specifically defines what is considered confidential information, along with a modifiable section that allows you to identify types of non-confidential information.
The mutual NDA template sets forth the obligations of the party that receives confidential information, such as an affirmative requirement to protect and safeguard the confidentiality of the Disclosing Party's confidential information, an affirmative requirement to not disclose confidential information to other individuals or entities, and so forth. The template mutual NDA also provides clear instructions for the return or destruction of confidential information.
The mutual NDA template describes the remedies that may be pursued, in the event the receiving party breaches the NDA, along with the term (i.e. timeframe) of the NDA. The template mutual NDA also contains important legal provisions such as the relationship between the parties, the fact that no warranties or representations are made as a result of the NDA, the relevant state law that will govern the terms of the NDA, and stipulations for assigning the agreement.
The mutual NDA also contains a severability clause, which is helpful since the clause sets forth that, in the event any provision of this Agreement is held by a court of other tribunal of competent jurisdiction to be unenforceable, that provision will be enforced to the maximum extent permissible under applicable law, and the other provisions of this Agreement will remain in full force and effect.
Who Should Use the Template Mutual NDA
The mutual NDA template can be used in a variety of situations. Nevertheless, this particular template is best suited in the context of a business relationship or transaction where confidential information is being shared between the parties.
Benefits of Using the Mutual NDA Template
There are many benefits associated with a mutual NDA. For example, an NDA can help legally protect trade secrets and other proprietary information, it can help establish trust and candor between the parties, it can prevent the theft of intellectual property, it can provide evidence of the other party's contractual obligation to keep certain information confidential, and it helps memorialize the confidential nature of the information described in the NDA.
If your mutual NDA is breached, you may need to consider pursuing litigation. If that situation arises, having an experienced lawyer by your side can pay dividends. My legal services are available.
