Project Description

In 2022, a personal client in California sought assistance with a consulting agreement following their retirement from a senior executive role at a small IT manufacturing company. After the initial consulting period outlined in their separation agreement had ended, the client aimed to draft an addendum that would outline the terms for re-engaging with the company on a limited basis, providing advisory services. The client required a review of the existing separation agreement and additional clauses to ensure clarity on the ongoing relationship. As a result, the client received six proposals from licensed lawyers, with flat fee bids ranging from $450 to $900, all submitted to complete the work within the requested deadline of one week.

Can a consulting agreement be terminated without cause?

I have recently entered into a consulting agreement with a company to provide my expertise and services on a project basis. However, I have concerns about the termination clause in the agreement, as it states that the company can terminate the agreement at any time, without cause. This worries me because it leaves me vulnerable to sudden termination without any valid reason, potentially resulting in financial loss and damage to my professional reputation. I would like to understand if such a termination clause is legally enforceable and what options I have to protect my interests in this agreement.

As a general rule, a contract can be terminated without cause if the document says as much. It's a good idea to have your agreement reviewed by a local attorney for more information.

How to handle data protection in a consulting agreement?

I am a business owner looking to hire a consultant to provide services to my organization. As part of the consulting agreement, I need to ensure that any sensitive or confidential data used by the consultant is handled in a secure manner. I want to understand what steps need to be taken to ensure that data protection is addressed in the consulting agreement.

A business that wishes to protect its sensitive or confidential data has several options. Numerous types of agreements or contracts (or clauses or provisions) can help a business protect its data, including those that focus on confidentiality and/or non-disclosure, privacy, or publicity. For a business that is contemplating hiring a consultant who will have access to sensitive or confidential data, the first step is typically to have the consultant sign an agreement protecting that data before granting the consultant access to it. A knowledgeable attorney can assist with review, negotiating, or writing agreements that protect a business' sensitive or confidential data. Consult with a North Carolina attorney who can help you tailor the agreement to comply with North Carolina law and meet your specific legal needs.
