Is it possible to give advisory shares for free in the US?
We are a French startup, and in France advisory shares must be bought by the investor. We wanted to know if that's also the case in the US, because we have US investors. Thanks a lot for your precious help!

Does an LLC need articles of incorporation?
I am considering forming an NY LLC and am doing a bit of research.

LLCs are not technically "companies" or "corporations" and therefore they are not formed by filing Articles of Incorporation. Corporations are formed when you file Articles of Incorporation. LLS are formed by an "Organizer" who files a Form of Organization or Articles of Organization with a state. LLCs actually are "hybrids" with characteristic of companies in some ways and of partnerships in other ways.

Hello! My company provide me a fixed amount ($10,000) of equity within 4 years, with 25% vested after 12 months and said "The options will have a “strike price” which is based on the market value of the Company at the time your options are issued to you." What does it mean? Will i need to pay the different price every year?

Would really need to see the documents to properly answer this question. Is the value of the equity fixed at $10,000? Typically you get a number of shares that vest (become available to you) over x amount of time. The strike price is the amount you will pay to the company to exercise the option. What should be included in an asset purchase agreement?
I am considering buying a chain of laundry mats and have been told I would need an asset purchase agreement for the legal paperwork involved. I don't believe I want to buy the business, but am not sure. I think I would just want to buy their machines and take over their leases. If this was the case, what would I need to have in an agreement?

Yes, even though you dont intent to buy the entire business but only the machines and take over the leases (which may be allowed under their current lease or your would have to go directly to the landlord if it is not) you would still need an agreement that lays out what you are buying, the cost, what happens if you have a dispute and all the necessary things to protect your rights.
