Joint Marketing Agreement

New York

Asked on Feb 8, 2025

Can a Joint Marketing Agreement protect my business interests effectively?

I have recently been approached by a potential business partner to enter into a Joint Marketing Agreement, where we would collaborate on marketing and promotional activities. While I see the benefits of such an arrangement, I have concerns about protecting my business interests, such as intellectual property rights, confidential information, and the potential for conflicts of interest. I would like to know if a Joint Marketing Agreement can adequately address these concerns and provide the necessary legal safeguards to ensure a successful and mutually beneficial partnership.

A Joint Marketing Agreement can indeed protect your business interests effectively if it is carefully drafted to address key concerns such as intellectual property rights, confidentiality, and potential conflicts of interest. By including specific clauses that define the ownership and permitted usage of intellectual property, as well as provisions for handling confidential information through non-disclosure and security measures, the agreement can establish a strong legal framework. Moreover, clearly outlining each party’s roles, responsibilities, and the boundaries of the partnership—including any exclusivity or conflict-of-interest limitations—can help prevent misunderstandings and ensure that both parties benefit equitably from the collaboration. However, the effectiveness of such an agreement ultimately hinges on the precision of its terms and the commitment of both parties to adhere to them. It is essential to incorporate detailed provisions for dispute resolution, termination rights, and risk allocation through indemnification and liability limitations to safeguard against unforeseen issues. While a well-structured Joint Marketing Agreement offers significant legal protections, consulting with a legal professional experienced in commercial contracts is advisable to tailor the document to your specific needs and ensure that your business interests are fully secured.

Certificate of Good Standing

What is a Certificate of Good Standing?

I recently started a small business and have heard about a Certificate of Good Standing. However, I am not sure what it is or why it is important. I would like to know more about what a Certificate of Good Standing is and how it can benefit my business in terms of legal compliance and credibility.

In New York, a business's Certificate of Good Standing certifies that it is adequately registered and active in doing business in the state. A business owner may obtain a Certificate of Status, also referred to as a Certificate of Good Standing or Certificate of Existence, evidencing the existence of a corporation or other business entity by submitting a request to the New York State Department of State, Division of Corporations.

Corporation Agreement

Ohio

Asked on Jan 1, 2025

What are the legal requirements and steps involved in forming a corporation?

I am currently in the process of starting a new business and I am considering forming a corporation. I have done some research on the topic, but I am still unclear about the specific legal requirements and steps involved in the corporate formation process. Forming a corporation in Ohio is a great way to establish your business with legal protection and a formal structure. While the process can seem complex, breaking it down into key steps can help ensure that you’re meeting all legal requirements. Here’s an overview of what’s involved: 1. Choose a Corporate Name Your corporation’s name must be unique and distinguishable from other registered businesses in Ohio. You can check name availability through the Ohio Secretary of State’s website and reserve a name if needed. 2. File Articles of Incorporation To officially form your corporation, you must file Articles of Incorporation with the Ohio Secretary of State. This document includes basic details such as your corporation’s name, purpose, number of shares, and statutory agent (a registered agent who will receive legal notices). 3. Appoint a Statutory Agent Every Ohio corporation must designate a statutory agent (also known as a registered agent) who will accept legal documents on behalf of the company. This can be an individual or a business entity authorized to operate in Ohio. 4. Obtain an Employer Identification Number (EIN) An EIN (also called a Tax ID) is required for tax purposes, hiring employees, and opening a business bank account. You can obtain one for free from the IRS website. 5. Create Corporate Bylaws While not legally required to file, corporate bylaws are an essential internal document that outlines your business’s governance structure, including how decisions will be made, the roles of directors and officers, and how shares will be managed. 6. Register for Ohio Business Taxes & Licenses Depending on your business activities, you may need to register for state taxes with the Ohio Department of Taxation, such as sales tax or employer withholding tax. Some industries may also require specific business licenses or permits. 7. Hold an Organizational Meeting At this initial meeting, the incorporators or initial directors should adopt the corporate bylaws, appoint officers, issue shares to shareholders, and document key decisions in meeting minutes. Generally this meeting is "held" by a document called a Written Consent. 8. Maintain Compliance Once your corporation is formed, you must stay compliant by: (i) Filing a Biennial Report with the Ohio Secretary of State every two years; (ii) Keeping proper financial records and holding annual shareholder and director meetings; and (iii) Maintaining corporate minutes and following proper procedures to preserve limited liability protections. Setting up your corporation properly from the start helps protect you from personal liability and ensures your business runs smoothly. If you’d like assistance with any of these steps—whether it’s filing documents, drafting bylaws, or structuring your corporation for legal protection—I’d be happy to help.

Multi-Member LLC

Ohio

Asked on Jan 30, 2025

Can an LLC with multiple members be formed without a written operating agreement?

I am currently in the process of forming a multi-member LLC with two other individuals, and we are unsure whether it is necessary to have a written operating agreement. We have discussed the key aspects of our business arrangement, such as ownership percentages, profit distribution, and decision-making authority, but we are wondering if a formal written agreement is legally required or if we can proceed without one. We want to ensure that we are complying with all legal requirements and protecting our interests as members of the LLC.

Answered Feb 4, 2025

While a written operating agreement is not legally required to form a multi-member LLC, it is absolutely a best practice to have one in place. An operating agreement is an internal document, meaning you won’t need to file it with the state, but it plays a critical role in setting clear expectations and protecting all members' interests. Without a written agreement, your LLC will default to your state’s LLC laws, which may not align with your specific business arrangement or preferences. A well-drafted operating agreement allows you to: - Clearly define ownership percentages and capital contributions. - Establish how profits and losses are allocated among members. - Outline decision-making authority and voting rights. - Set procedures for bringing in new members or handling a member’s exit. - Minimize the risk of internal disputes by having a written record of agreed-upon terms. While your verbal discussions are a great start, formalizing these details in writing ensures that everyone is on the same page and helps prevent potential conflicts down the road. If you'd like assistance drafting an operating agreement that aligns with your business needs, I’d be happy to help!

Referral Partner Agreement

New York

Asked on Feb 3, 2025

Can a referral partner agreement be terminated before the agreed-upon term if certain conditions are not met?

Can a referral partner agreement be terminated before the agreed-upon term if the referral partner fails to meet the minimum number of referrals specified in the agreement or breaches any other material terms, as I am a business owner who entered into a referral partner agreement with another company, but the other party has consistently failed to meet the minimum referral requirements, and I would like to explore my options for terminating the agreement early.

Answered Feb 4, 2025

You are alleging a material breach of contract, rendering the whole agreement null and void. Sometimes, an agreement contains language stating that a breach of one provision is not a breach of the entire contract. Usually, a material breach that goes to the core of the agreement overrides such a provision.

Employee Stock Option Agreement

Texas

Asked on Jan 23, 2025

How can I exercise my employee stock options and what are the tax implications?

I am an employee at a startup company and I have been granted stock options as part of my compensation package. I would like to understand the steps involved in exercising the options, any restrictions or limitations that may apply, and how the exercise will impact my tax liability.

Answered Feb 4, 2025

Exercising stock options involves understanding the type of options you've been granted, either Incentive Stock Options (ISOs) or Non-Qualified Stock Options (NSOs), the grant price vs. the current value of the options and the specific rules of your grant. The process typically requires notifying your company, paying the exercise price, and addressing potential tax liabilities. For NSOs, you'll be taxed on the difference between the market price and strike price as ordinary income. ISOs have more complex tax treatment, potentially triggering Alternative Minimum Tax. The key is to carefully review your option grant agreement, understand the current company valuation, and consider your personal financial situation. For a small startup, you may not be able to easily sell or monetize the options at this time. This is something you'll also want to explore with the company. Given the complexity, consulting a tax and/or legal professional is highly recommended to navigate the specific nuances of your stock option exercise and minimize tax exposure.

Ground Lease

New York

Asked on Jan 29, 2025

Can a ground lease be terminated early by the lessor if the lessee violates a non-monetary covenant?

I am currently in a ground lease agreement where I am the lessee, and I recently received a notice from the lessor stating that they intend to terminate the lease due to a violation of a non-monetary covenant. The specific covenant in question pertains to the maintenance and upkeep of the property. I have been diligently maintaining the property, but there may have been some minor lapses in the past. I would like to know if the lessor has the legal right to terminate the ground lease early based on a non-monetary covenant violation, and what options I have to defend against this termination.

Answered Jan 30, 2025

Hello: The success of a claim of breach of the agreement depends on whether the alleged violation of the specific non-monetary covenant is material and whether there is a right to cure it. If it is a minor or curable breach, and the lessee can cure it, then the lessee may have defenses to an alleged breach claim.

Offer Letter

California

Asked on Dec 17, 2024

Can an employer revoke an offer letter after it has been accepted?

I recently received an offer letter for a job position that I had been interviewing for, and I accepted the offer in writing. However, a week later, the employer contacted me to inform me that they are revoking the offer due to unforeseen circumstances. I had already given notice to my current employer and made arrangements to start the new job. I am now left without a job and wondering if the employer has the right to revoke the offer letter after it has been accepted.

Phillip Z.

Answered Jan 29, 2025

Yes, employers can usually revoke an offer letter even after it's been accepted, but there are some important things to consider: At-will employment: In most states, employers can terminate employment anytime, even before the job starts. Legal risks: Rescinding offers can lead to legal issues, especially if the candidate has already taken action to their detriment based on the offer. Contracts: If the offer letter is a binding contract, revocation could be considered a breach of contract and result in damages to the employee.

Founders' Agreement

California

Asked on Dec 15, 2024

Can a founders agreement be modified after it has been signed?

I am part of a startup team and we have recently signed a founders agreement that outlines the roles, responsibilities, and equity distribution among the founders. However, as we continue to work together and the business evolves, we have realized that certain aspects of the agreement need to be modified to better reflect our current needs and goals. We would like to know if it is possible to make amendments to the founders agreement, and if so, what is the process and potential implications of doing so.

Phillip Z.

Answered Jan 29, 2025

Yes, a founders agreement can be modified after signing, but several steps must be followed: 1. Mutual Consent: All founders must agree to the changes. 2. Documentation: Changes should be documented in an amendment referencing the original contract and specifying which clauses are modified. All parties must sign this amendment. 3. Legal Review: A lawyer should review the changes to ensure they are legally sound. 4. Consistency: Ensure changes align with other legal documents. Approach modifications carefully, as they can significantly impact the startup's rights, obligations, and ownership structure.

Liability Protection

Event Space Rental Agreement

Texas

Asked on Dec 16, 2024

Can I include a clause in an event space rental agreement that limits the liability of the venue for any damages or injuries caused by the event attendees?

I am in the process of renting an event space for a large gathering that will include various activities and entertainment. I am concerned about potential accidents or damages that may occur during the event and would like to know if it is legally possible to include a clause in the rental agreement that limits the liability of the venue for any injuries or damages caused by the attendees. I want to ensure that I am not held responsible for any incidents that may happen during the event.

It is possible to include a liability-limiting clause in a venue rental agreement, but its enforceability depends on jurisdiction and clear, fair language. Venues often disclaim liability for attendee negligence but cannot waive responsibility for gross negligence, willful misconduct or safety violations. You can ask that the renters indemnify the venue for claims and require them to secure event-specific insurance, including general liability and liquor liability if applicable. . Consulting legal counsel to review the agreement and align with local laws is essential to minimize risks during your event.

Website Agreement

Texas

Asked on Jan 27, 2025

Is it necessary for my website to have a Terms of Service agreement?

I am in the process of launching a new website that will offer services and allow users to create accounts. Answered Jan 28, 2025

Every website that offers services and lets users create accounts needs Terms of Service - it's like having a contract with your users. It's crucial, especially in Texas. Recent Texas court cases have made it clear: you need to make sure users actually see and agree to your terms. The StubHub case is a perfect example. The court looked at whether users had fair notice of the terms and actively showed they agreed to them. The best way to do this is with what we call a "clickwrap" agreement - that's where users have to click "I agree" during sign-up. Your Terms of Service should include: ACCEPTANCE: Clear instructions on how users accept the terms - that "I agree" button. Then, spell out exactly what services you're providing and what users can and can't do on your site. PRIVACY POLICY: You'll also need a privacy policy section that explains how you handle user data. Depending upon your services and the nature of the data you are collecting and from where your users are arriving, you may need separate detailed privacy policy and a cookie policy. ADDITIONAL: You'll want sections on how disputes get resolved (like arbitration), limits on your liability, and your right to update the terms later. Getting this right protects you legally and sets clear expectations with your users.

Construction Contractor

General Contractor Contract

Texas

Asked on Jan 24, 2025

Is it legal for a general contractor to include a clause in the contract that limits the homeowner's right to sue for construction defects?

I recently hired a general contractor to renovate my home, and in the contract they provided, there is a clause that states I am waiving my right to sue them for any construction defects and instead must go through arbitration or mediation. I'm concerned about signing away my legal rights and want to know if this clause is enforceable or if it violates any consumer protection laws.

View Jennifer B.

Jennifer B.

Answered Jan 28, 2025

Under Texas law, general contractors can include provisions that require disputes about construction issues or defects to be resolved through mediation and arbitration rather than going to court. It is enforceable and it is not a violation of consumer protection law. To be valid, the arbitration requirement must be clearly visible in the contract - specifically in bold, 10-point type or larger. This ensures you can make an informed decision about agreeing to arbitration. For disputes over alleged construction defects where damages exceed $7,500, Texas law provides for mandatory mediation if requested by either party. Mediation involves working with a neutral third party to reach a mutually agreeable solution. If mediation doesn't resolve the issue, the dispute would then go to binding arbitration - where an arbitrator hears both sides and makes a final decision. Texas courts recognize and enforce these types of arbitration agreements. While arbitration and mediation can often provide faster and less expensive resolution than litigation, you should carefully review these provisions before signing.

Landscaping Contract

Asked on Dec 25, 2024

Can I terminate a landscaping contract if the contractor has failed to meet the agreed-upon deadlines?

I entered into a landscaping contract with a contractor to redesign my backyard, which included various tasks such as installing a patio, planting trees, and laying down new turf. The contract specified that the work would be completed within six weeks. However, it has been over three months, and the contractor has consistently failed to meet the agreed-upon deadlines, causing significant inconvenience and frustration. Can I terminate the contract due to the contractor's breach of the agreed-upon timeframe?

Noncompete Agreement

Washington

Asked on Jan 19, 2025

Can my employer enforce a non-compete agreement if I was laid off due to COVID-19?

Can my former employer legally enforce the non-compete agreement I signed when I was hired, considering I was recently laid off due to the economic impact of COVID-19 and the agreement seems to restrict my ability to find new employment in my field? I have been actively seeking new job opportunities in the same industry, but potential employers are hesitant to hire me due to the non-compete agreement, which restricts me from working for competitors or starting my own business in the same field for a certain period of time. Coaching Agreement

New York

Can a coaching agreement be terminated if the coach fails to meet the agreed-upon objectives?

I entered into a coaching agreement with a professional coach to help me improve my business skills and achieve specific objectives within a certain timeframe. However, after several sessions, it is becoming apparent that the coach is not adequately addressing my needs and failing to help me make progress towards my goals. Can I terminate the coaching agreement and seek a refund or another coach who can better meet my needs?

4.9 (13)

Damien B.

Answered Jan 27, 2025

In this situation, both parties agreeing to terminate the contract is best because of your dissatisfaction. The coach's failure to provide adequate advice could be difficult to prove. Conversely, the coach would have to prove they provided adequate services. So, a mutual agreement to terminate the agreement is preferable. You could attempt to negotiate a partial reimbursement.

Commercial Lease

Ohio

Asked on Jan 14, 2025

Can a landlord terminate a commercial lease early?

I have been running a small retail business for the past two years in a commercial space rented under a 5-year lease agreement. However, due to unforeseen financial difficulties, my business is struggling to stay afloat and I may need to close down. I have heard rumors that my landlord has the right to terminate the lease early, and I want to know if this is true and what my options are in such a situation.

Michelle M.

Answered Jan 26, 2025

The answer to your question is contained in the lease. All rights and obligations of parties to a commercial lease are controlled by and provided for within the lease. If your lease provides for early termination by the landlord, then the landlord can exercise that option. If it doesn't provide for early termination and you are in compliance with the lease, then they can't terminate early (at least not without your consent). You should retain a local attorney who can review the lease and provide advice concerning your specific situation. Best of luck!

Power of Attorney

Ohio

Asked on Jan 23, 2025

Can a Power of Attorney be revoked if the person who granted it is now capable of making decisions?

Can a Power of Attorney be revoked if the person who granted it is now capable of making decisions? I have been granted Power of Attorney for my elderly mother who was deemed mentally incapable of making decisions due to dementia. However, her condition has improved significantly, and she is now able to make decisions on her own. I want to know if it is possible to revoke the Power of Attorney and return decision-making authority to her.

Michelle M.

Answered Jan 26, 2025

A power of attorney does not take away the decision-making authority of the principal. It appoints someone to act on behalf of the principal as provided in the document, but not to the exclusion of the person granting the power. If your mother granted power of attorney to you it allows you to act on her behalf, but she can also still act on her own. If she wants to revoke the power of attorney she can do so at any time, but given her diagnosis that may not be wise. It's likely the document will be needed again at some point in the future. The only proceeding that removes decision-making ability is a guardianship, which is done in the Probate Court (this is different than a power of attorney). Hope that helps!

Mortgage

Mortgage Agreement (OLD)

Texas

Asked on Jan 12, 2025

Can a lender require me to pay off my existing mortgage in full before refinancing?

I am currently considering refinancing my mortgage to take advantage of lower interest rates. However, I recently received a letter from my potential lender stating that I must pay off my existing mortgage in full before they will approve the refinance. This requirement caught me off guard as I was under the impression that refinancing involves transferring the balance from my current mortgage to the new loan. I am wondering if this is a common practice among lenders and if it is legal for them to demand full repayment of my existing mortgage before refinancing.

Phillip Z.

Answered Jan 25, 2025

Typically, you pay off your existing mortgage at the closing for the refinanced mortgage. At closing, some of the funds from the new loan are used to pay off your old loan. This ensures that the existing mortgage is fully settled and the latest mortgage takes it's place.

What is the purpose of a Certificate of Organization?

I am in the process of starting a new business and I have been advised to file a Certificate of Organization. I understand that this document is required for limited liability companies (LLCs) and serves as proof of the company's existence. However, I would like to know more about the specific purpose of a Certificate of Organization, what information it typically includes, and any potential legal implications or consequences of not filing this document.

Phillip Z.

Answered Jan 25, 2025

A Certificate of Organization as your LLC's birth certificate in Texas. When you file Form 205, you're officially creating your business and getting all the legal protections that come with it. You'll need to include some basic info: - your company name (with "LLC" in it), - who'll receive any legal papers (that's your registered agent), - where you're located, and - how the company will be managed. You must send the $300 filing fee to the Texas Secretary of State with Form 205. Just remember—without this certificate, your business isn't officially recognized. That means you could be personally liable for any business debts or legal issues, and you'll have trouble with basic things like opening a bank account.
