I am an experienced in house counsel and have worked in the pharmaceutical, consumer goods and restaurant industry. I have experience with a variety of agreements, below is a non-exhaustive list of types of agreements I can help with: Supply Agreements Distribution Agreements Manufacture Agreements Service Agreements Employment Agreements Consulting Agreements Commercial and residential lease agreements Non-compete Agreements Confidentiality and Non-Disclosure Agreements Demand Letters Termination notice Notice of breach of contract My experience as in house counsel has exposed me to a wide variety of commercial matters for which I can provide consulting and assistance on. I have advised US, Canadian and International entities on cross-functional matters and have guided them when they are in different countries and jurisdictions as their counterparties. I can provide assistance early on in a business discussion to help guide you and make sure you ask the right questions even before the commercial agreement needs to be negotiated, but if you are ready to put a contract in place I can most definitely help with that too.

Business & Contracts Attorney | Outside General Counsel | Sports, Entertainment, Employment & Estate Planning

Ocala, Florida
5 Yrs Experience
Licensed in FL
Nova Southeastern University Shepard Broad College of Law (J.D., summa cum laude, top 5%)

I help business owners, founders, employers, athletes, creators and families get contracts and legal documents done right the first time, at a flat fee agreed before any work starts. I am licensed in Florida (2021) and Washington, D.C. (2022). I practice as a business and contracts attorney and outside general counsel with Amethyst Law Group, and previously served as Florida Managing Attorney at Lento Law Group. Before that I sat on the business side of the table as General Manager and General Counsel of a professional basketball organization and as Deputy Commissioner of a start-up sports league, so I have negotiated, drafted and enforced the same agreements I now prepare and review for clients: sponsorship and vendor deals, player, coaching and staff contracts, employment and independent contractor agreements, licensing and brand deals. What I handle on ContractsCounsel: - Contract drafting, review and redlining: service agreements, MSAs, NDAs, vendor and supplier agreements, sponsorship, licensing, endorsement and brand deals - Business formation and governance: LLCs and corporations, operating agreements, bylaws, partnership and shareholder agreements, founder and equity arrangements - Employment and hiring: offer letters, employment agreements, independent contractor agreements, non-compete and confidentiality agreements, separation and severance agreements, handbooks and policies - Sports, entertainment and creator agreements: athlete representation, NIL, sponsorship, appearance, management and agency agreements (licensed FIBA agent) - Real estate: purchase and sale agreements, residential and commercial leases, contract review before you sign - Wills, trusts, powers of attorney and estate planning documents - Demand letters, cease and desist letters and pre-dispute contract enforcement - Ongoing outside general counsel support for small and growing businesses How I work: Every project starts with a fixed price and a delivery date you can plan around. You receive a plain-English summary of what the document does, what I changed and why, and any risks you should know about, not just a marked-up file. Two rounds of revisions are included so the final draft is exactly what you need, and I respond to messages the same business day. Credentials: J.D., Nova Southeastern University Shepard Broad College of Law, summa cum laude, top 5% of class, Senior Editor of the Southern Journal of Policy and Justice, Dean's Certificate of Professionalism, 300+ pro bono hours; M.S. Forensic Psychology (4.0 GPA); M.S.Ed. Sports Administration, University of Miami; B.A. English Language and Literature, Southern New Hampshire University. Recognized as an Elite Lawyer recipient. Malpractice insurance carried. Litigation background: first-chair trial attorney with experience in business, employment, real estate, consumer protection and family matters. I draft every contract with a clear view of how it will hold up if it is ever tested.

Business and estate planning attorney with 12 years in law — five as licensed counsel, plus seven as a law clerk and legal assistant before that. I draft and review business contracts, form LLCs and corporations, and build wills, trusts, and estate plans. Two things make my work different. Alongside my JD I hold an LLM in Wealth Management and have passed the Series 65 (Uniform Investment Adviser Law Exam), so I understand the tax and financial mechanics behind a document, not just its language — the same rigor I've applied to trust and entity structures for families with $100M+ in assets goes into a single NDA review. And I spent years in civil litigation defending insurers and their insureds, so I know which clauses actually get fought over, and I draft with that in mind instead of pasting boilerplate. Flat-fee quotes whenever scope allows. Same-business-day responses. Most single-document projects delivered in 1–3 business days, with a plain-English summary of what I changed and why. Licensed in Texas (Bar No. 24123061) and malpractice insured; available nationwide for contract, business, and commercial matters that don't require state-specific admission. Message me what you're working on and I'll tell you honestly whether I'm the right fit.

Before law school I built the contract management system for a publicly traded medical device company — so I read your agreement the way the people who have to live with it will, not just the way a court would. I draft and review business contracts on a fixed fee, with the delivery date agreed before I start. You get the redlined document plus a short written summary of what I changed, why it matters, and what I'd push back on if the other side objects. Revisions are included — I'd rather get the document right than count rounds. NDAs, MSAs and SOWs, contractor and employment agreements, SaaS terms, terms of service and privacy policies, operating agreements, vendor and construction contracts, and full contract review with a plain-English risk summary. Send me the document and what you're trying to accomplish with it, and I'll come back with a fixed fee and a date.

Asset Purchase Agreement

Texas

Asked on Oct 4, 2022

Should asset purchase agreement be notarized?

Do we need to notarize an APA? I have tried to do research online and cannot find anything. I am trying to budget for a new acquisition and want to make sure I have all of my ducks in a row. Are there any other documents I will need?

Michael S.

Answered Nov 8, 2022

First, I highly recommend you get legal representation in connection with your purchase agreement. Second, I'm not a Texas lawyer, but generally an asset purchase agreement will not need to be notarized.

LLC

Texas

Asked on Oct 28, 2023

Can I sell my LLC post-formation?

I am an entrepreneur looking to start a business and am considering forming a limited liability company (LLC). I have done my research and understand the basics of forming an LLC, but I am now curious to know if I can sell my LLC post-formation. I want to ensure that the structure of my LLC will provide me with the flexibility to sell if the opportunity arises.

Darryl S.

Answered Nov 28, 2023

Yes, you typically can sell an LLC post-formation. Some key points to consider if you may want to sell your LLC in the future: - You retain flexibility to sell membership interests (ownership units) in the LLC rather than the entity itself. This keeps things simpler as transferring formal LLC ownership requires dissolution paperwork. - The operating agreement should clearly outline members' rights and rules around transferring units, such as rights of first refusal and valuation mechanisms. This gives buyers confidence in the process. - Discuss with a lawyer and accountant to set up the appropriate LLC structure for your situation. For example, a single-member vs multi-member LLC may have different implications for a future sale. - Maintain detailed financial records and consistent bookkeeping. This will streamline the due diligence process for prospective buyers. So in short, yes an LLC remains a saleable entity after formation. Consider rules for transfers in the operating agreement, structure properly at the start, and keep excellent records. This gives you maximum flexibility for an ownership exit strategy via selling your LLC interest. Let me know if you need any clarification or have additional questions!

Stock Purchase Agreement

Connecticut

Asked on Aug 4, 2023

What is a stock purchase agreement?

I am a small business owner looking to purchase a company and I am interested in understanding more about a stock purchase agreement. I understand that this type of agreement is used when a buyer wishes to purchase the stock of a company, but I would like to learn more about the specifics of the agreement and what is involved in the process.

Thomas L.

Answered Aug 25, 2023

There are two ways to purchase a company. Buy its assets individually, or purchase the stock of the company. Buying the assets is more legal work, and more expensive and disruptive to the purchased business' relationship with third parties such as employees, customers, vendors, and banks, but avoids assuming the liabilities of the selling company. Buying the stock of the company is far less disruptive, but runs the risk of assuming undisclosed liabilities of the company.
