A small business that wishes to draft an agreement for hiring a consultant should consider various legal requirements and implications. For just a few examples: 1. An agreement is not a valid and enforceable "contract" unless it contains certain essential elements. 2. Issues like ambiguity, contradiction, and vagueness in an agreement can be (and sometimes must be) interpreted against the drafting party. 3. Drafting an agreement for a person who will be providing individual services is a factor that could be used to interpret the relationship as "employment" when it was not intended to be. Since consultants are usually experts of some sort, they often make their living by providing their consulting services to numerous clients. Therefore, most consultants have their own consulting agreements to present to their prospective clients. A knowledgeable North Carolina attorney can assist with drafting, reviewing, or negotiating a consulting agreement. Hello. I appreciate your concerns about signing a Noncompete Agreement. It's essential to protect your rights and ensure the agreement is fair and reasonable given that a noncompete typically restricts competing activities during or after the term of engagement. Without knowing more about the business relationship and reviewing the actual terms, whether the non-compete is fair, reasonable, or even enforceable remains an open-ended question. Bearing this in mind, if the noncompete is preventing you from taking on other clients during or after the end of your relationship (or both), the scope of this restriction must be reasonable in terms of time, geographic area, and the specific activities it seeks to prevent. For example, does the noncompete specify the types of clients, industries, or geographic areas that are off-limits? What is the duration of the noncompete? If the client breaches your main agreement, will that render your noncompete void and unenforceable? These are just a few general questions that require a thorough review and analysis against Florida non-compete laws. Overall, the ultimate goal is to carefully review the terms to understand how they might impact your ability to take on new clients. If you don’t understand or are unsure about the contractual terms and their legal implications, it's highly recommended you consult with an attorney who can review the noncompete and provide you with personalized legal advice before you sign.

The federal ESIGN Act, passed in 2000, gives full force and effect to digital signatures with the same weight as "wet" signatures. However, you should discuss this with an Attorney for your specific agreement if you are concerned. An Attorney can research your specific industry, regulations, and state statutes that may impact digital signatures or have specific requirements around digital signatures that are different from other documents.

Is confidentiality required in an asset purchase agreement?

I am considering purchasing a business asset and the seller has presented me with an Asset Purchase Agreement. I understand that these agreements typically contain confidential information, but I am not sure if confidentiality is required in this particular agreement. I would like to know whether confidentiality is necessary and what the consequences might be if the agreement is not kept confidential.

There is no requirement for confidentiality in ANY type of contract; this is a negotiated term, like all other terms in any contract (except that in some instances, such as WA State Residential Landlord/Tenant contracts, state law may supercede terms in a lease that would violate the law). As far as breach of a confidentiality term (or any other term) in a contract, often the contract itself will state what the consequences may be for a breach - however, if this is not specified, the other party could sue for breach of contract - what a court may decide to award would generally be based on the amount of damages the Plaintiff incurred by having the breach occur. If you are considering buying a business, I urge you to have all paperwork, your business plan, your finances, and all other important documents and information reviewed by a business attorney prior to signing anything at all.
