Ryenne S.
My name is Ryenne Shaw and I help business owners build businesses that operate as assets instead of liabilities, increase in value over time and build wealth. My areas of expertise include corporate formation and business structure, contract law, employment/labor law, business risk and compliance and intellectual property. I also serve as outside general counsel to several businesses across various industries nationally. I spent most of my early legal career assisting C.E.O.s, General Counsel, and in-house legal counsel of both large and smaller corporations in minimizing liability, protecting business assets and maximizing profits. While working with many of these entities, I realized that smaller entities are often underserved. I saw that smaller business owners weren’t receiving the same level of legal support larger corporations relied upon to grow and sustain. I knew this was a major contributor to the ceiling that most small businesses hit before they’ve even scratched the surface of their potential. And I knew at that moment that all of this lack of knowledge and support was creating a huge wealth gap. After over ten years of legal experience, I started my law firm to provide the legal support small to mid-sized business owners and entrepreneurs need to grow and protect their brands, businesses, and assets. I have a passion for helping small to mid-sized businesses and startups grow into wealth-building assets by leveraging the same legal strategies large corporations have used for years to create real wealth. I enjoy connecting with my clients, learning about their visions and identifying ways to protect and maximize the reach, value and impact of their businesses. I am a strong legal writer with extensive litigation experience, including both federal and state (and administratively), which brings another element to every contract I prepare and the overall counsel and value I provide. Some of my recent projects include: - Negotiating & Drafting Commercial Lease Agreements - Drafting Trademark Licensing Agreements - Drafting Ambassador and Influencer Agreements - Drafting Collaboration Agreements - Drafting Service Agreements for service-providers, coaches and consultants - Drafting Master Service Agreements and SOWs - Drafting Terms of Service and Privacy Policies - Preparing policies and procedures for businesses in highly regulated industries - Drafting Employee Handbooks, Standard Operations and Procedures (SOPs) manuals, employment agreements - Creating Employer-employee infrastructure to ensure business compliance with employment and labor laws - Drafting Independent Contractor Agreements and Non-Disclosure/Non-Competition/Non-Solicitation Agreements - Conducting Federal Trademark Searches and filing trademark applications - Preparing Trademark Opinion Letters after conducting appropriate legal research - Drafting Letters of Opinion for Small Business Loans - Drafting and Responding to Cease and Desist Letters I service clients throughout the United States across a broad range of industries.

Legal Due Diligence Checklist
New York
What is the importance of legal due diligence in the process of acquiring a business?
I am currently in the process of acquiring a small business and I have been advised by my financial advisor to conduct legal due diligence before finalizing the deal. I understand that legal due diligence involves reviewing the legal aspects of the target company, such as contracts, licenses, litigation history, and compliance with laws and regulations. However, I am unsure about the specific benefits and importance of conducting legal due diligence in this situation. I want to know how this process can help me identify potential risks, liabilities, and legal issues associated with the target company, and how it can protect me from future legal complications or financial losses.
Arthur S.
Business acquisition agreements are often entered into subject and conditioned upon t he right of the Buyer to conduct a due diligence review during an agreed upon time frame ...with the obligation of the Buyer entity to finalize the deal very much contingent upon the findings of any such due diligence review. In short, the due diligence review provides the Buyer with a comfort level that the asset it is buying is what it has bargained for. A due diligence review involves a review, without limitation, of the Selling company's books and records, existing loan/debt obligations, an inventory review, a review of independent contractor/materialmen agreements, property leases and title and judgement research. Signing a purchase contract with an appropriate due diligence provision also enables the Buyer to "tie-up" asset for the agreed price during the due diligence period..

LLC and confidentiality clauses?
I recently started a small business and am looking to form a Limited Liability Company (LLC). I want to ensure that the confidentiality of the LLC and its members is protected, as it is a very competitive market. I am looking for advice on what clauses I should include in the LLC documents to ensure maximum confidentiality.
Thomas L.
You should include a separate non-disclosure agreement for each person.

Do S-Corps have operating agreements?
I am starting an S-Corp since my accountant said it was a better tax structure. Do I need the same documents as an LLC (i.e. Operating Agreement).
Jane C.
S Corporations are not legally required to have operating agreements. They have bylaws that govern their operations. Disclaimer - This information is provided for general informational purposes only. Can an S corp be digital?
I am an entrepreneur who is exploring different business entities to use for my new venture. I have heard that an S corp can be a beneficial option, but I am unsure if a digital S corp is possible. I have been researching online, but I am not sure what the legal requirements and implications would be for creating a digital S corp.
Michael R.
There is no such thing as a digital S corporation. An S corporation is simply a corporation which makes an election to be taxed as a partnership.

Pros & cons of shareholders agreements?
I am a shareholder in a small business and am looking to draw up a shareholders agreement. I understand that a shareholders agreement can protect my interests as a shareholder, but I am not sure of the pros and cons of such an agreement. I would like to know more about the benefits and drawbacks of having a shareholders agreement in place.
Thomas L.
Shareholders have rights and powers under the corporate law of the jurisdiction in which the company is incorporated. But many stockholders, especially in private companies, demand additional powers and protections.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.

Contracts Counsel was incredibly helpful and easy to use. I submitted a project for a lawyer's help within a day I had received over 6 proposals from qualified lawyers. I submitted a bid that works best for my business and we went forward with the project.
View Trustpilot ReviewI never knew how difficult it was to obtain representation or a lawyer, and ContractsCounsel was EXACTLY the type of service I was hoping for when I was in a pinch. Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.
View Trustpilot ReviewI got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project.
