Contractor Agreement

Texas

Asked on Oct 23, 2023

How to handle breaches in a contractor agreement?

I am currently working with a contractor to complete a project for my business. We have agreed to a contract and have been working together for the past few months. Recently, I have noticed that the contractor is not meeting the requirements of the contract and I would like to know how to handle these breaches in a contractor agreement.

Michelle T.

Answered Oct 24, 2023

Great question. First, you want to read your contract very carefully to see if the actions are in fact a violation of its terms, sometimes there can be flexibility in the provisions with regard to timelines and so forth. If there is in fact a breach, make sure you keep accurate documentation of the violations. Often times, a well written letter to the other party listing their obligations under the contract and how they have breached those violations is enough to get them to change their behavior. If not, you have the option to ask the court to enforce the agreement or require the breaching party to compensate you for any damages.

Landscaping Contract

Washington

Asked on Dec 25, 2024

Can I terminate a landscaping contract if the contractor has failed to meet the agreed-upon deadlines?

I entered into a landscaping contract with a contractor to redesign my backyard, which included various tasks such as installing a patio, planting trees, and laying down new turf. The contract specified that the work would be completed within six weeks. However, it has been over three months, and the contractor has consistently failed to meet the agreed-upon deadlines, causing significant inconvenience and frustration. Can I terminate the contract due to the contractor's breach of the agreed-upon timeframe?

Merry K.

Answered Jan 28, 2025

Usually, yes, but it depends in the terms and conditions of the signed agreement, and what steps you have taken to date (such as written correspondance with the contractor) to try to get the landscape contractor to fullfil the contract. You may want to start by verifying the contractor's license: https://lni.wa.gov/licensing-permits/contractors/hiring-a-contractor/verify-contractor-tradesperson-business There are remedies you can use through this state agency (put another way, the agency may be able to accept a complaint from you and help you with this situation for free). Best, Merry

Business Partnership Agreement

Tennessee

Asked on May 11, 2022

Zied kefi partnership

I wanna open restaurant with my friend and make legal partnership documents

Rebecca R.

Answered May 13, 2022

You have the right idea to put the partnership in writing. Your attorney will be able to help you think through several issues: investment into the business, operating the business, the potential to add more partners or investors, and an exit strategy for each partner or both partners. The document to start with is a business partnership agreement that outlines the ground rules for your partnership based on the Tennessee law. It can be a very straightforward document, or more complex depending on your needs. For instance, you may also want to create a statement of partnership authority which designates which partners have the authority to enter into agreements on behalf of the partnership, or it may limit the authority of certain partners. This is the kind of business agreement I help small business owners with regularly, and I invite you to request a bid for my services on your project through ContractsCounsel.

Maintenance Services Agreement

New York

Asked on Dec 30, 2024

What are the key provisions that should be included in a Maintenance Services Agreement?

I am a small business owner who is in the process of hiring a maintenance services provider to handle the upkeep of my office space. I have been asked to draft a Maintenance Services Agreement to outline the terms and conditions of the arrangement, but I am unsure of what provisions are essential to include. I want to ensure that the agreement covers all necessary aspects, such as the scope of work, payment terms, liability and insurance, termination rights, and any other key considerations that may be relevant to protect my interests as the client and ensure a smooth working relationship with the maintenance services provider.

Damien B.

Answered Dec 31, 2024

You are on the right track in identifying the key provisions: scope of work, payment terms, liability and insurance, and termination rights. Not all maintenance service agreements are exactly the same. Generally, what I do is look at a few of them. Then I speak with my client about the facts. Afterward, I draft the specific agreement for their purposes, including the appropriate provisions based on the client's specific needs.
