What are the key elements that should be included in a retainer agreement?
I am in the process of hiring a lawyer to handle a complex legal matter and they have asked me to sign a retainer agreement. I am not familiar with the specifics of a retainer agreement and want to ensure that I understand the key elements that should be included in such an agreement. I want to make sure that my rights and interests are protected, that the scope of work is clearly defined, and that the fees and billing terms are fair and transparent.

That is an excellent question, and I wish more people asked. Every attorney writes these differently, but, like all contracts, retainer agreements are usually written to benefit the author, and it's often difficult to negotiate changes. For a very large and costly project, please consider paying either a contracts attorney or an ethics attorney for an hour or two of his or her time to review the proposed retainer before you sign, and perhaps help you negotiate it. One of the things to look for is (are) hidden costs - for example, will the law firm charge you $36 every time they write a one sentence response to an email question you may have? Will you or they be paying for experts - if so, who will be used, and will you have any say in their selection? How much will the experts charge? (EG - a doctor in a personal injury case could charge $1500/hour). Does the retainer include language regarding how disputes between you and the law firm will be resolved? Does the retainer fully comply with the Washington State Rules for Professional Responsibility? https://www.courts.wa.gov/court_rules/?fa=court_rules.list&group=ga&set=RPC (Please note - the court website system has been having technical problems - in addition to the rules, there are also innumerable opinions interpreting the rules - only a true ethics attorney will be on top of all of these).

I am in the process of entering into an OEM Agreement with a manufacturing company to produce and distribute a product based on my company's design and specifications. While I have a general understanding of OEM agreements, I am unsure about the specific terms and provisions that should be included to protect my interests and ensure a successful partnership. I want to ensure that the agreement covers important aspects such as intellectual property rights, quality control, pricing, confidentiality, and termination provisions. Can you provide guidance and explain the standard or recommended provisions typically included in an OEM Agreement?

Hello! An OEM Agreement can include the provisions that you mention as well as other important provisions. I think the most important is determining what goes under each of the provisions. For example, the provisions should designate who owns the IP and how IP infringement claims or other breach of contract claims are handled. Also, the agreement would state what restrictions there are on IP use. Manufacturer indemnity clauses are important too. Having an attorney provide legal counsel with whom you can bounce ideas off of and who can draft or edit the agreement is the best way to go.

Are non-competes part of a business purchase agreement?
I am in the process of purchasing a business and need to know if a non-compete agreement is part of the purchase agreement. I understand that the non-compete agreement will help to protect my business from competition but I am not sure if this is included in the purchase agreement. I also need to know the implications of including a non-compete agreement in the purchase agreement.

Many purchase agreements do include non-competes, which are typically geographically limited and limited in terms of duration. The implication for the seller is straight forward. As a practial matter, the buyer benefits from a non-compete because it limits competion from the seller for business within the community in which the buyer will operate following the purchase of the business, or competition from the seller over the same potential customers, which aids profitability.

Can a company change the terms of a customer contract without notification or consent?
I recently entered into a contract with a company for a monthly subscription service, which outlined specific terms and conditions including the price, duration, and cancellation policy. However, I recently discovered that the company has changed these terms without any notification or consent from me, resulting in increased fees and a longer contract duration. I am concerned about the legality of this situation and whether the company has the right to unilaterally modify the contract without my agreement.

The answer to your question is, as so many answers in the legal world..."it depends." It depends because it is possible that the company could have included in the original contract with you a clause preserving its right to change its policy without notice (although it could be argued that such a clause is unenforceable in a court) or it original contract may include language in which you waive your right to notice or some other similar waiver. The contract you are referring to in your question would need to be reviewed by an attorney practiced in contract law.

Is a void contract enforceable in court?
We are a LLC Rug business. We were ask for a collaboration in exchange for a social media post. Our contract states that “If in 2 weeks you haven’t posted, then this contract is null and void and you would have to pay full price for the rugs”. Can we sue them if they don’t pay for the rugs if we mentioned that the contract is null and void?

What you have described appears to act as a liquidated damages clause. Typically liquidated damage clauses are unenforceable, or not enforced by courts in Massachusetts. However, there may be other methods that can be used to pursue this vendor. For example, a demand letter is one method of putting pressure on a vendor, and such a letter can be followed up with a suit if the matters in the letter are not addressed within 30 days.
