I am in the process of negotiating a business deal with another party and we have exchanged Letters of Intent as a preliminary agreement. However, I am unsure if this document holds any legal weight and if it can be enforced in case of a breach. I want to understand the legal implications of a Letter of Intent and whether it can be considered a legally binding contract.

Short answer is yes...provided they contain the basic elements of a binding agreement. LOI's can be short and simple or extensive and detailed. Most often, LOIs are intended to provide a road map for the drafting of more formal, comprehensive binding agreements and contain an express a provision that they are not intended to be binding upon the parties to the LOI.

What happens when a mortgaged house was built on the wrong land?

We have 4 total lots, two in my fathers name and the other two in my grandfather’s name. The builder built my fathers house on my grandfather’s land. I wasn’t aware of this years ago until My father passed away. Who or How do we fix this problem?

Hello. There are multiple solutions to this problem. The simplest solution would be for your grandfather (or whoever the current owner is) to deed the property over to your father's heirs. They could also switch parcels of land. Depending on how long ago the home was built, the owner of the house could potentially have a right to the property via an adverse possession. How enforceable is a quitclaim deed?

I recently inherited a piece of property from a family member and have been told that a quitclaim deed is the only way to transfer the title to my name. I am concerned about the enforceability of this document and would like to understand the potential risks and benefits associated with using a quitclaim deed. I am also curious about the legal requirements for making a quitclaim deed valid.

In theory, any writing in which an owner intends to transfer propery that is adquatedly described and delivered to the transferee is enforcable against the GRANTOR. Thus, a quitclaim deed is generally a valid deed, provided that it has been executed with the requiste formalities for purposes of recording in the public records, and adequetly describes the property. Generally, the term "quitclaim" simply signifies the the grantor does not promise to defend the grantee against any third party title claims. To be properly executed, the deed generally must be executed by the grantor in the presence of the notary, notarized, and signed by the notary and one additional witness. Without meeting these requirements, the deed may not be accepted for recordation in the property records, which also makes the deed "enforceable" against third parties, because it service as notice to those who do not have a previously recorded interest in the property of the grantee's title. In sum, a deed, including a quitclaim deed is generally enforceable against the grantor, but must be executed with the above formalities AND recorded to be "enforceable" against, or serve a notice to third parties of the new owner's interest in the property.

Can a trust deed be revoked or modified after it has been established?

I recently inherited a property that was placed in a trust deed by my late father, who named me as the beneficiary. The trust deed was established several years ago and outlines specific conditions for the distribution of the property. However, I am now considering making some changes to the property, such as adding an additional structure or dividing it into separate lots. I am wondering if it is possible to revoke or modify the trust deed to accommodate these changes, or if I am bound by its original terms.

Hello! My name is Dolan and I'm happy to answer your question. If your father placed the property into trust and has passed, it's important to look at the trust terms to see if the trustee has any authority to transfer the property over to you. If there is no authority for that, then you have to determine whether the property requires the trustee to approve modifications or if your dad gave you the right to make these improvements yourself. Nevertheless, when a person dies, the trust becomes irrevocable, so modifications or revocations are not permitted. Revocations are allowed if something happens like you die and there is no backup beneficiary or if the property is condemned by the state,for example. Otherwise, you have to look at the trust terms and/or speak to the trustee. We can always review these things for you here on the site. Thanks again!
