I am currently in the process of hiring a lawyer for a legal matter and have been presented with a Fee Retainer Agreement. While I understand that this document outlines the lawyer's fees and payment terms, I would like a thorough explanation of its purpose and the specific terms I should be aware of. I want to ensure that I fully understand the financial obligations and protections provided by this agreement before proceeding with legal representation.

In many states, e.g. New York, Fee Retainer agreements are required by law before any legal services can be performed. As you have indicated, the base purpose of a retainer agreement is to set forth a clear description of the scope of legal services to be performed and the fees and disbursements payable in connection with the rendering of such services. The retainer agreement should also set forth the rights of both client and attorney in the event a dispute arises between them and the methodology for resolving such dispute, e.g. arbitration vs lawsuit. The retainer agreement should also set forth the right of the client to terminate, as well as the right of the attorney to withdraw from, the attorney/client relationship.

Purchase and sale agreement contingencies?
I am in the process of purchasing a home and have received a Purchase and Sale Agreement from the seller. I understand that there are contingencies that must be met in order for the agreement to be valid, but I am unclear on what these contingencies are and how they will affect the agreement. I am hoping to get some insight from a lawyer on what contingencies I should be aware of and how they could affect the agreement.

Contingencies are conditions provided in the contract that need to be met prior to performance or close of escrow. In Purchase and Sale Agreements, it is usually the buyer who negotiates for contingencies to reduce or eliminate their risks prior to close of escrow. Normally, buyer’s contingencies would include appraisal reports, property inspections, mortgages, title reports or sale of another property. More often than not, sellers do not have contingencies in Purchase and Sale Agreements because they want to sell the property in a timely manner; if seller cannot deliver the property, it may deem the property not available for sale in the first place.

Can you purchase or refinance under a land contract?
I’ve been living here for 2 years. Currently have been working with my credit union and they are having a terrible time trying to understand the legalities of my land contract first off, and secondly they just don’t seem to know what they are doing. It’s been over 8 months, 4 different loan officers and I’m once again waiting for someone else to help finish this thing out. It’s only $60,000 with a $120,000 appraisal. So, as of now I am stuck paying 2.5x monthly under this land contract than I was promised would be an easy mortgage process. So any guidance in the right direction would be very helpful. It’s a New York home. 20 yr fixed, no balloon, with a (brace yourself) 12% apr. HELP ME PLEASE! One month I’m being told to authorize a credit check for a first time homebuyer grant method of mortgaging this property. The next it’s authorizing it for a refinance. I do have earnest money deposits for over $3,000 and another $3000 paid towards principal under this land contract also.

Can a construction services agreement be terminated by the contractor if the owner fails to make payment within the agreed timeframe?
I recently entered into a construction services agreement with a contractor to renovate my commercial property. The agreement stipulates that I will make payments to the contractor within 30 days of receiving an invoice. However, due to financial constraints, I have been unable to make timely payments and have fallen behind on several invoices. I am concerned that the contractor may terminate the agreement and leave the project unfinished if I am unable to catch up on payments. Can the contractor legally terminate the agreement if I fail to make payment within the agreed timeframe?

Simple answer...Yes. That said, most Owner/Contractor agreements....particularly AIA forms of Owner/Contractor Agreement, empower a contractor to terminate the agreement on written notice following certain work stoppage and cure periods. A more precise answer, in this instance,, would require a review of the relevant provisions of the underlying Owner/Contractor Agreement in question.

Can a landlord terminate a commercial lease early?
I have been running a small retail business for the past two years in a commercial space rented under a 5-year lease agreement. However, due to unforeseen financial difficulties, my business is struggling to stay afloat and I may need to close down. I have heard rumors that my landlord has the right to terminate the lease early, and I want to know if this is true and what my options are in such a situation.

The answer to your question is contained in the lease. All rights and obligations of parties to a commercial lease are controlled by and provided for within the lease. If your lease provides for early termination by the landlord, then the landlord can exercise that option. If it doesn't provide for early termination and you are in compliance with the lease, then they can't terminate early (at least not without your consent). You should retain a local attorney who can review the lease and provide advice concerning your specific situation. Best of luck!
