Can a Letter of Intent be legally binding?
I am in the process of negotiating a business deal with another party and we have exchanged Letters of Intent as a preliminary agreement. However, I am unsure if this document holds any legal weight and if it can be enforced in case of a breach. I want to understand the legal implications of a Letter of Intent and whether it can be considered a legally binding contract.

Short answer is yes...provided they contain the basic elements of a binding agreement. LOI's can be short and simple or extensive and detailed. Most often, LOIs are intended to provide a road map for the drafting of more formal, comprehensive binding agreements and contain an express a provision that they are not intended to be binding upon the parties to the LOI.

Which court document shows the mortgagee?

To be clear, the mortgagor is the person taking the loan and giving the creditor a security interest in real property. The mortgagee is the creditor, typically a bank. Which court document depends on what type of proceeding you are involved in. If you are asking about a foreclosure action, the mortgage instrument is typically filed with the petition/complaint initiating the action. However, I'm an Oklahoma attorney, not a Georgia attorney, so I don't know if the same requirement applies to filings in your state. However, that's what is typical. The problem is that the loan is often sold, so the promissory note and the mortgage are assigned to other companies. The manner in which that happens varies by state. There might be attachments showing the documents were assigned to other financial institutions who presumably bought the note and mortgage. Those are usually pages attached to the back of the mortgage agreement. Also, there is a company called the Mortgage Electronic Registration, Inc. ("MERS") that tracks ownership of loans without making a separate assignment each time a loan is transferred from one financial institution to another. In a MERS case, there is typically a statement from MERS, often in a long legalese document called an affidavit. Somewhere in that affidavit, it likely says who the present owner is. Alternatively, the affidavit simply verifies that some other document is a true copy of their business records, and THAT document will have the mortgagee information. For more detailed information, you will need to take whatever documents you have and whatever case information you have (especially the case number) to an attorney in the state where the property is located, preferably in the county where the property is located. I understand that commercial lease agreements vary in length, but I am unsure how long the typical agreement is. The term of a commercial lease typically is no less than 3 years, and could be either 5 or 10 years. Both the Landlord and Tenant usually like long term leases.

It would be advisable to have an attorney review your lease to see if that lease is terminated by sale of the property. You may also want to see the Purchase Agreement for the property to clarify if the buyer of the building has an obligation to continue honoring the lease.

Trying to sell home. My title company having issue settling the debt. Title company contact loan to payoff, but no record of my property was found. Only past owner current home is on the loan. Quit Deed was done 2012. In 2015 past owner loan was passed to a different company who record in Florida my parcel number. So basically I can't pay loan off because my home is not attached to her loan. I still can't clear title because lien was recorded 2015 in Fl court house, but The past owner was no longer on deed. Looking to hire a lawyer to clear title, so I can sell my home.

This sounds complicated enough that you need a lawyer to get involved. Do you have a title insurance "owner's policy"? If so, that might get you a free lawyer (I can't tell from the facts you presented whether that will work). Also, you've tagged this question as a Virginia question, but you mention the lien being recorded in Florida. You need an experienced lawyer in the jurisdiction in which the property is located. If the house is in Virginia, you need a Virginia lawyer; if in Florida, you need a Florida lawyer. If it's a lien on Virginia property from a Florida judgment, then you need a Virginia lawyer, because that's where the property is located.
