Can a Letter of Intent be legally binding?
I am in the process of negotiating a business deal with another party and we have exchanged Letters of Intent as a preliminary agreement. However, I am unsure if this document holds any legal weight and if it can be enforced in case of a breach. I want to understand the legal implications of a Letter of Intent and whether it can be considered a legally binding contract.

Short answer is yes...provided they contain the basic elements of a binding agreement. LOI's can be short and simple or extensive and detailed. Most often, LOIs are intended to provide a road map for the drafting of more formal, comprehensive binding agreements and contain an express a provision that they are not intended to be binding upon the parties to the LOI.

Are there cancellation fees in purchase agreements?
I am currently in the process of purchasing a home and I have been presented with a purchase agreement. I was wondering if there are any cancellation fees included in the agreement, as I would like to make sure that I am aware of all the terms and potential costs associated with this purchase. I want to make sure that I am fully informed before I make a final decision.

Hello! I understand you are entering into a Purchase Agreement and want to know whether there are any cancellation fees. First, you would read the agreement to see if there is any mention of termination/cancellation fees such as the loss of the down payment if the buyer attempt to terminate the contract. But, generally, the agreement is binding contract. So, if a buyer attempts to cancel the contract, it could be considered a breach of contract. In that situation, the seller can claim damages, which usually results in a loss of the down payment but also could lead to other monetary claims or a claim to attempt to force the buyer to fulfill the purchase (general called a specific performance claim). Separately, in most cases, if the buyer's ability to purchase the property is dependent on getting a secured loan, usually there would be no cancellation or damage claim and the buyer would have the right to the return of the downpayment (this should be outlined in the contract and is usually referred to as a contingency clause). I am in the process of signing a lease for a building for my business. I am looking to understand the tax implications of the lease and what I need to be aware of. I want to make sure I am in compliance with all relevant tax regulations and I am looking for advice on how to best handle taxes in the context of this lease.

There are several different ways this can be handled: one situation is that you have a base tax year and as tenant are responsible for any and all amounts over that base amount. Another scenario that the Tenant is liable for all of the taxes and associated costs. Finally, and unlikely, the tenant could have zero exposure for taxes, but that’s rare. To sum it up it is whatever you negotiate with the Landlord prior to signing any lease.

Can I terminate an HVAC contract if the contractor fails to complete the agreed-upon work within the specified timeframe?
I hired a contractor to install a new HVAC system in my home, and we signed a contract that stated the work would be completed within four weeks. However, it has been three months, and the contractor has not finished the installation. Despite numerous promises and excuses, there has been no progress made, and I am growing increasingly frustrated. Can I terminate this HVAC contract due to the contractor's failure to meet the agreed-upon timeframe?

Simple answer...yes. The failure of the contractor to timely complete performance through no fault of the homeowner can be the basis for termination of the contract. Of course, the terms of the contract will control on this subject. It is customary for contracts to require that a written notice be provided by the homeowner to the contractor setting forth, in reasonable detail, the nature and scope of the default by the contractor and requiring that the default be cured within a state time period following delivery of the notice...failing which, the homeowner will be entitled to terminate the contract and, in certain instances, seek recovery of damages by reason of such default..

Can you purchase or refinance under a land contract?
I’ve been living here for 2 years. Currently have been working with my credit union and they are having a terrible time trying to understand the legalities of my land contract first off, and secondly they just don’t seem to know what they are doing. It’s been over 8 months, 4 different loan officers and I’m once again waiting for someone else to help finish this thing out. It’s only $60,000 with a $120,000 appraisal. So, as of now I am stuck paying 2.5x monthly under this land contract than I was promised would be an easy mortgage process. So any guidance in the right direction would be very helpful. It’s a New York home. 20 yr fixed, no balloon, with a (brace yourself) 12% apr. HELP ME PLEASE! One month I’m being told to authorize a credit check for a first time homebuyer grant method of mortgaging this property. The next it’s authorizing it for a refinance. I do have earnest money deposits for over $3,000 and another $3000 paid towards principal under this land contract also.
