A small business that wishes to draft an agreement for hiring a consultant should consider various legal requirements and implications. For just a few examples: 1. An agreement is not a valid and enforceable "contract" unless it contains certain essential elements. 2. Issues like ambiguity, contradiction, and vagueness in an agreement can be (and sometimes must be) interpreted against the drafting party. 3. Drafting an agreement for a person who will be providing individual services is a factor that could be used to interpret the relationship as "employment" when it was not intended to be. Since consultants are usually experts of some sort, they often make their living by providing their consulting services to numerous clients. Therefore, most consultants have their own consulting agreements to present to their prospective clients. A knowledgeable North Carolina attorney can assist with drafting, reviewing, or negotiating a consulting agreement. A SaaS agreement is just like every other business contract with just a few notable exceptions. They can be "click-wrap" agreements where your users are not able to negotiate the terms of service. These agreements must be inherently reasonable and fair aligned to traditional notions of fair play. If you intend for a more enterprise service, then your agreements can be a more traditional bargain for exchange so long as they are not deceptive and misleading. The other major difference with SaaS agreements is typically their ability to be unilaterally updated when written properly and applied fairly. You should definitely work with a lawyer experienced with data security and privacy issues to write your agreement and ensure it aligns to your terms and services, privacy policy, and internal business practices.

Typically, a (bona fide) independent contractor will prepare an agreement and present it to a hiring party to sign. However, for various reasons, a hiring party might prepare the agreement instead. Although there are plenty of templates available for independent contractor agreements, it would not be wise to use a template blindly. It is important for a hiring party to understand the true nature of an independent contractor relationship. Otherwise, the hiring party could inadvertently create an employment relationship and "misclassify" the employee as an independent contractor. If you are considering creating a North Carolina independent contractor agreement, you might consider scheduling a legal consultation first. A knowledgeable North Carolina employment attorney can advise you on the legal distinctions between an independent contractor and an employee, review a template or an agreement that you create, or create an independent contractor agreement that complies with North Carolina's nuanced independent contractor rules. A North Carolina business purchase agreement typically includes due diligence. During due diligence, the buyer has the opportunity to explore the deal and investigate the business to be purchased. The buyer is usually allowed to terminate a business purchase agreement during the due diligence period simply by providing proper notice to the seller. Upon terminating a business purchase agreement during due diligence, the buyer is usually not entitled to a refund of a due diligence fee but might be entitled to a refund of a deposit. There are also several other termination options that could be included in a business purchase agreement. To avoid conflict and confusion, ideally, a contract should clearly articulate how it can be terminated.
