I am a small business owner who recently hired an independent contractor to help with some of my projects. I want to ensure that the contractor is held accountable for their work, so I am looking to set performance metrics in the contractor agreement. I am hoping to find out the legalities of doing so and what kind of metrics are legally allowed to be included in the agreement.

A business that hires an independent contractor should be careful not to confuse an independent contractor relationship with an employment relationship. Treating an independent contractor like an employee can result in the law ultimately determining that the contractor is actually a "misclassified" employee. In North Carolina, "performance metrics" typically apply to employees, not independent contractors. This is because the "independent" in "independent contractor" means that the hiring party does not "control" (manage, monitor, supervise, etc.) the contractor like it would an employee. The hiring party is entitled to hold the contractor accountable for the results that it hires the contractor to achieve. However, the independent contractor is entitled to determine the manner, means, and methods of achieving the desired results. With that all being said, it is important for the parties to an independent contractor relationship to have clear expectations. An independent contractor agreement should outline the essential terms and conditions of the engagement. These might include such terms as definitions of the deliverables, deadlines for the deliverables, remedies for the independent contractor's failure to produce the deliverables by the agreed-upon deadlines, and special considerations. A knowledgeable North Carolina attorney can advise on the legalities of the proposed terms and conditions of an independent contractor relationship that is to be governed by North Carolina law.

Who's liable for contracts in a joint venture?
I'm a small business owner looking to start a joint venture with another business. We have discussed the terms of the venture and are ready to move forward, but I want to make sure that I understand who is responsible for which contracts. I'm concerned that if either party fails to fulfill their contractual obligations, I need to know who will be held liable.

Typically, liability for each party to a joint venture is determined by the joint venture agreement itself. However, if the joint venture agreement is not sufficient to establish liability or there is no agreement, the law imputes "per capita" (per head) liability. For example, in a joint venture that involves three separate individuals and/or entities, each venturer bears one-third of the total liability. For this reason, joint venturers commonly register a separate entity such as a limited liability company ("LLC"). Hope this helps!

How to terminate a business purchase agreement?
I am in the process of purchasing a business, and I am currently reviewing the purchase agreement. I have noticed that the agreement does not specify how to terminate it and I am looking for guidance on how to properly terminate the agreement if I decide to do so. I am also interested in learning what the potential legal consequences of such a termination would be.

A North Carolina business purchase agreement typically includes due diligence. During due diligence, the buyer has the opportunity to explore the deal and investigate the business to be purchased. The buyer is usually allowed to terminate a business purchase agreement during the due diligence period simply by providing proper notice to the seller. Upon terminating a business purchase agreement during due diligence, the buyer is usually not entitled to a refund of a due diligence fee but might be entitled to a refund of a deposit. There are also several other termination options that could be included in a business purchase agreement. To avoid conflict and confusion, ideally, a contract should clearly articulate how it can be terminated. Are templates for independent contractor agreements okay?
I am an independent contractor and am currently in the process of negotiating a new agreement with a client. I am trying to understand the implications of using a template agreement, as opposed to having an agreement written specifically for our situation. I want to ensure that I am protecting my interests and that the agreement is legally binding.

Contract templates tend to follow the "Goldilocks principle." 1. The first template is too generic, so it won't likely protect many user-specific interests. 2. The second template is too specific, so it won't likely protect the interests of users outside of a specific category. 3. The third template is just right, so it is most likely to protect a specific party's legal interests. However, this template is one that an attorney created after having the opportunity to understand that party's goals and preferences. If a template was not created (or at least revised by an attorney) specifically for you, it might be best to think of it as a point of origin rather than a final product to be used as-is. Also, the independent contractor relationship is a widely misunderstood legal concept. But it is important for an independent contractor to understand how to leverage the nature of the relationship to negotiate favorable contract terms. An attorney can review, revise, negotiate, or write a contract, including an independent contractor agreement. Consult with a North Carolina attorney who is knowledgeable about independent contractor relationships and able to tailor your independent contractor agreement to your specific needs.

I am a consultant looking to enter into an agreement with a client. I am interested in having multiple clients, but am not sure if this is allowed under a consulting agreement. A consultant who is an employee of the hiring party (an employer) is usually bound by the employer's restrictions, such as a prohibition against performing the same or similar work for third parties. On the other hand, an outside consultant is usually an independent contractor to the hiring party (a client). An independent contractor is a separate (independent) business from its client and is expected to generate revenue to cover its overhead, pay its employees and contractors, and make profit. Subject to applicable laws, whether to enter into an agreement that would limit its rights to provide services to third parties is in an independent contractor's discretion. A knowledgeable attorney can advise you on your rights under a proposed consulting agreement. The attorney might also be able to help you negotiate terms of a consulting agreement that protect you and your business.
