Are NDAs part of independent contractor agreements?

I am a small business owner and I have been asked to sign an independent contractor agreement. I am curious to know if non-disclosure agreements (NDAs) are included in such agreements or if they are separate documents. A non-disclosure agreement (sometimes called an "NDA," a "confidential disclosure agreement," or a "CDA") is a common component of an independent contractor agreement. Whether it is included in the independent contractor agreement or is a separate document does not, in and of itself, affect the enforceability or validity of an NDA. However, it must be clear how a separate NDA is part of an overall deal. An independent contractor with a valid and enforceable NDA is obligated to comply with its terms and conditions. For example, the NDA might prohibit the independent contractor from disclosing confidential information to others or might require the independent contractor to comply with certain standards for maintaining confidentiality. An independent contractor who violates an NDA could be liable to the other party for monetary damages. For example, the NDA might require the contractor to pay the other party a predetermined amount of money or a court could order the contractor to pay the other party another amount. A North Carolina attorney who is knowledgeable of independent contractor agreements and NDAs should be able to assist with these, whether they are combined or are separate documents. Are templates for independent contractor agreements okay?

I am an independent contractor and am currently in the process of negotiating a new agreement with a client. I am trying to understand the implications of using a template agreement, as opposed to having an agreement written specifically for our situation. I want to ensure that I am protecting my interests and that the agreement is legally binding.

Contract templates tend to follow the "Goldilocks principle." 1. The first template is too generic, so it won't likely protect many user-specific interests. 2. The second template is too specific, so it won't likely protect the interests of users outside of a specific category. 3. The third template is just right, so it is most likely to protect a specific party's legal interests. However, this template is one that an attorney created after having the opportunity to understand that party's goals and preferences. If a template was not created (or at least revised by an attorney) specifically for you, it might be best to think of it as a point of origin rather than a final product to be used as-is. Also, the independent contractor relationship is a widely misunderstood legal concept. But it is important for an independent contractor to understand how to leverage the nature of the relationship to negotiate favorable contract terms. An attorney can review, revise, negotiate, or write a contract, including an independent contractor agreement. Consult with a North Carolina attorney who is knowledgeable about independent contractor relationships and able to tailor your independent contractor agreement to your specific needs.

A consultant who is an employee of the hiring party (an employer) is usually bound by the employer's restrictions, such as a prohibition against performing the same or similar work for third parties. On the other hand, an outside consultant is usually an independent contractor to the hiring party (a client). An independent contractor is a separate (independent) business from its client and is expected to generate revenue to cover its overhead, pay its employees and contractors, and make profit. Subject to applicable laws, whether to enter into an agreement that would limit its rights to provide services to third parties is in an independent contractor's discretion. A knowledgeable attorney can advise you on your rights under a proposed consulting agreement. The attorney might also be able to help you negotiate terms of a consulting agreement that protect you and your business.

Who's liable for contracts in a joint venture?

I'm a small business owner looking to start a joint venture with another business. We have discussed the terms of the venture and are ready to move forward, but I want to make sure that I understand who is responsible for which contracts. Typically, liability for each party to a joint venture is determined by the joint venture agreement itself. However, if the joint venture agreement is not sufficient to establish liability or there is no agreement, the law imputes "per capita" (per head) liability. For example, in a joint venture that involves three separate individuals and/or entities, each venturer bears one-third of the total liability. For this reason, joint venturers commonly register a separate entity such as a limited liability company ("LLC"). Hope this helps!

A SaaS agreement is just like every other business contract with just a few notable exceptions. They can be "click-wrap" agreements where your users are not able to negotiate the terms of service. These agreements must be inherently reasonable and fair aligned to traditional notions of fair play. If you intend for a more enterprise service, then your agreements can be a more traditional bargain for exchange so long as they are not deceptive and misleading. The other major difference with SaaS agreements is typically their ability to be unilaterally updated when written properly and applied fairly. You should definitely work with a lawyer experienced with data security and privacy issues to write your agreement and ensure it aligns to your terms and services, privacy policy, and internal business practices.
