Hello! I hope you are well! If X is contesting a defective or invalid deed, and the quitclaim deed has been recorded for at least five years, then the deed will be considered valid. Under Oklahoma law, an instrument (in your case, the quitclaim deed) that has not been acknowledged or which contains a defective acknowledgment shall be considered valid notwithstanding such omission or defect, and shall not be deemed to impair marketability, provided such instrument has been recorded for a period of not less than five (5) years. 16 O.S. §§ 27a & 39a. Hello. An option is to create an LLC to purchase the property. This would provide liability protection. As part of the LLC, the members would have an Operating Agreement outlining the terms and conditions of managing the LLC (which owns the property), including provisions regarding financial contributions, disbursement, resolutions of disputes or disagreements, and how a property sale would occur.

A triple net lease designates the tenant (lessee) as having the sole responsibility for any and all costs associated to the asset being leased in the agreement, with those costs being the net real estate taxes on the leased asset, net building insurance, and net common area maintenance. The lease received its name from the three “net” fees and may also be called a Net-Net-Net Lease.

Precautions before signing a quitclaim deed?
I am a homeowner and I am in the process of selling my house. My buyer has requested that I sign a quitclaim deed. I understand that this deed will transfer my interest in the property, but I want to understand the legal precautions I should take before signing this document. I want to make sure that I am fully protected and do not have any legal liabilities after signing the quitclaim deed.

A quitclaim deed conveys the sellers ownership interest in the property to the buyer with no guarantees of clear title to the property. In contrast, a warranty deed guarantees to the buyer that the seller holds clear title to the property. From a seller’s perspective a quitclaim deed is preferable in that the seller is not providing a warranty of clear title to the buyer. A warranty deed protects the buyer against title defects and is thus preferable to the buyer. If your buyer is getting a owner’s policy of title insurance, that would be sufficient to protect the buyer from defects in title.

I am in the process of purchasing a home and have received a Purchase and Sale Agreement from the seller. I understand that there are contingencies that must be met in order for the agreement to be valid, but I am unclear on what these contingencies are and how they will affect the agreement. I am hoping to get some insight from a lawyer on what contingencies I should be aware of and how they could affect the agreement.

Contingencies are conditions provided in the contract that need to be met prior to performance or close of escrow. In Purchase and Sale Agreements, it is usually the buyer who negotiates for contingencies to reduce or eliminate their risks prior to close of escrow. Normally, buyer’s contingencies would include appraisal reports, property inspections, mortgages, title reports or sale of another property. More often than not, sellers do not have contingencies in Purchase and Sale Agreements because they want to sell the property in a timely manner; if seller cannot deliver the property, it may deem the property not available for sale in the first place.
