Are 1099 employees responsible for there own break time and lunch time?

The job im at I am a 1099 employee but they tell us when to get here when our breaks are when our lunch is and when we leave. Doesn't that technically mean that we are W2 workers?

First of all, there is no such thing as a 1099 employee. You are either an independent contractor or an employee. Second, yes, if you are being told when to take a break or have lunch, then you are probably an employee and not an independent contractor.

I am currently in negotiations with a potential business partner to establish a joint venture, and we have exchanged a Letter of Intent outlining our intentions and key terms. However, I am unsure if this document holds any legal weight and can be considered binding in a court of law. I want to understand the legal implications of a Letter of Intent and whether it can be enforced if either party breaches the terms stated in the document.

The enforceability of a Letter of Intent (LOI) depends on its wording. LOIs are usually intended as non-binding expressions of good faith and a framework for further negotiations. They often contain language stating they are not enforceable agreements. However, under certain circumstances, LOIs can become partially or fully binding. If you want the LOI to be legally binding, like confidentiality clauses, have a lawyer review it and ensure the wording reflects that intent. Given the potential complexities, consulting a lawyer experienced in business contracts is highly recommended. An attorney can analyze your LOI and advise you on its enforceability and how to proceed with your joint venture negotiations.

The one thing to make sure with noncompete agreements is that it is reasonable in terms of duration and the area you cannot compete in. Courts use a reasonableness test to determine whether a noncompete agreement is valid. If provisions are deemed to be unreasonable and fail the test, they could be altered or struck out of the agreement.

Hello! Congrats on starting the business. So here are the general steps to forming an LLC in California: Reserve a name. The state says - For general information about name reservations and name style requirements relating to limited liability companies, please refer to our Name Reservations webpage. Create your Articles of Organization. With that, here is what you need: 1. You need agent for service of process 2, You need to identify manager or member-managed 3. You can add any information not inconsstent with info required in articles or by law 4. You need to create a name. The name must not be "likely to mislead the public: and must be distinguishable in the SOS records (Corp. Code section 17701.08(b).) You then need to fill out and file form LLC-1. The instructions are listed at this link - https://bpd.cdn.sos.ca.gov/llc/forms/llc-1.pdf Within 90 days of forming a California LLC, you’ll need to file an Initial Statement of Information.
