Dental Associate Contract

Texas

Asked on Jun 9, 2024

What are the key elements to consider when reviewing a dental associate contract?

I am a dentist who has been offered a dental associate position at a private practice, and I am seeking legal advice regarding the key elements I should be aware of when reviewing the dental associate contract. I want to ensure that the terms of the contract are fair and reasonable, and that they protect my rights and interests as an associate. Additionally, I would like to understand any potential implications or restrictions within the contract that may affect my future career opportunities or potential for growth within the dental industry.

Answered Jun 18, 2024

There are many complex issues to review in a contract of this type and I've found that the employment agreements given to medical professionals are frequently very one-sided to the benefit of the employer with complex non-compete and non-solicit restrictions. The things that should be outlined include the job responsibilities, compensation (including bonus strux), benefits, and probably most importantly termination provisions that outline compensation for termination without cause and what constitutes cause. Lastly, I alway recommend a dispute resolution process that involves mediation and arbitration rather than the courts.

Employment Offer

Washington

Asked on Dec 8, 2023

How to compare multiple employment offers?

I recently received multiple job offers and I'm having difficulty deciding between them. I'm trying to weigh the pros and cons of each offer, and would like to know what considerations should be taken into account when comparing multiple employment offers. I'm concerned about the salary, benefits, vacation time, and job responsibilities, but I'm not sure what other factors I should consider.

Merry K.

Answered Dec 12, 2023

Congratulations on receiving multiple job offers. In addition to what you listed as considerations, above, you can review things such as whether these are all for employment (rather than independent contractor); whether you would be considered "at will" or would be given a number of rights as an employee; and whether the employer would provide training/mentorship etc. If I were in your shoes, I'd compare reviews of each employer, as an employer - this can be hard to find, but Glassdoor.com has a limited number of reviews of certain employers. If at all possible, reach out to some current employees at each company and ask the same or similar questions, such as "what do you like or dislike most" about your job and the employer?

Contract for Employment

New York

Asked on Nov 22, 2024

Can I hire employees without a written employment contract?

I am a small business owner in the retail industry, and I am considering hiring employees to help me with the day-to-day operations of my store. While I understand the importance of having a written contract to establish the terms and conditions of employment, I am wondering if it is legally acceptable to hire employees without a written employment contract in place. I want to ensure that I am compliant with employment laws and protect both my business and the employees, but I am unsure if a written contract is necessary in this situation.

Danny J.

Answered Dec 22, 2024

While it's legally possible to hire employees without a written employment contract in most states, there are important considerations to keep in mind: 1. At-will employment: Most employment relationships in the U.S. are presumed to be "at-will," meaning either party can terminate the relationship with or without cause or notice. 2. State-specific requirements: Some states, like New York, require written notification of certain employment terms at the time of hiring. 3. Legal protections: A written contract can provide clarity and protection for both the employer and employee, defining terms such as job responsibilities, compensation, and grounds for termination. 4. Industry standards: For certain positions, especially high-level executives, written contracts are more common and often expected. 5. Compliance risks: Without a written contract, you may face challenges in proving compliance with labor laws or defending against potential claims. Given the complexities of employment law and the potential risks involved, it would be prudent to have a thorough legal review of your hiring practices. As an experienced employment law attorney, I could: 1. Assess your specific situation and industry requirements 2. Advise on the pros and cons of using written contracts for your business 3. Develop compliant hiring procedures and documentation 4. Ensure you're meeting all state and federal employment law requirements Would you like to discuss how we can create a legally sound hiring process that protects your business while remaining flexible for your needs?

Contractor Agreement

Washington

Asked on Oct 24, 2023

How is performance evaluated in a contractor agreement?

I am a small business owner looking to hire a contractor for a project. I want to ensure that the performance of the contractor is evaluated fairly so that I can make sure I am getting the best value for my money. I am interested in understanding how performance evaluations are laid out in a contractor agreement.

Merry K.

Answered Nov 21, 2023

When drafting an independent contractor agreement, including terms to evaluate the contractor's performance is essential for ensuring quality and accountability. It's important to ensure that these terms are clear, achievable, and fair. Both parties should agree upon these terms before work commences. It's often advisable to consult with a legal professional to ensure that the agreement is legally sound and aligns with both parties' interests. Performance Standards: Define clear, measurable standards for the work. Milestones and Deadlines: Establish specific project milestones and deadlines. Regular Reviews: Schedule periodic reviews for progress checks and feedback. Quality Requirements: Specify quality standards and industry regulations to be met. Communication: Outline expectations for responsiveness and communication frequency. Reporting: Require regular progress reports from the contractor. Performance Metrics: Include specific metrics for evaluating work quality, efficiency, and cost management. Amendment for Improvement: Allow agreement modification for performance improvement plans. Termination for Unsatisfactory Performance: Define conditions for contract termination due to poor performance. Evaluation Methodology: Describe how and by whom the contractor’s performance will be evaluated. Dispute Resolution: Provide a process for resolving performance-related disputes. Confidentiality: Emphasize the importance of confidentiality in project details and evaluations.

Noncompete Agreement

Washington

Asked on Jul 25, 2023

Noncompete agreement and public policy?

I recently accepted a job offer with a new employer who asked me to sign a noncompete agreement. I am concerned that the agreement may not be in line with public policy and wanted to get a professional opinion from a lawyer to make sure I am not putting myself in a difficult situation.

Merry K.

Answered Aug 8, 2023

If you are in Washington State, where I'm licensed, as opposed to D.C., please let me know what kind of help you are looking for - have you already signed the agreement? I've been a WA State attorney for nearly 38 years, and specialize in employment law.
