Chaz G.
As a former corporate attorney at one of the world's premier global law firms and former in-house counsel at Texas Instruments, a Fortune 500 technology leader, I bring big-firm expertise and corporate-level sophistication to entrepreneurs, startups, and small business owners who deserve the same quality legal support as the largest companies in the world. As a lawyer and startup founder with products currently being sold in national retail chains, I've spent my career at the intersection of complex business transactions, corporate law, and policy. I know how deals get done, where contracts go wrong, and how to protect businesses before problems arise. Now, I put that experience to work for founders and business owners who need practical, straightforward legal guidance without the intimidating price tag of a major law firm. Whether you're signing your first vendor contract, structuring a partnership, protecting your intellectual property, or navigating a business dispute, I translate the law into plain language so you can make confident decisions and focus on growing your business. What I bring to the table: - Complex commercial transactions experience at an AmLaw 100 firm - 7+ years as in-house counsel at a Fortune 500 company - Deep understanding of how businesses actually operate day-to-day - Flat-fee, transparent pricing with no billing surprises - Fast turnaround and direct communication If you're building something, I want to help you protect it.
"Chaz was extremely helpful, thorough, and professional. I hired him for a cease and desist letter involving an unauthorized use of my company’s business identity, EIN, and credit. He took the time to review the documents carefully, explain the legal issues in plain English, and help me understand the strengths and challenges of my situation. What stood out most was how organized he was. He prepared a legal analysis memo before our call, walked me through the authority issues, and adjusted his approach after reviewing additional company documents. He was patient, clear, and never made me feel rushed, even though the situation involved several complicated details. The final work product was strong, detailed, and tailored to my specific facts rather than feeling like a generic template. I would definitely recommend Chaz to anyone who needs a knowledgeable attorney who communicates clearly and takes the time to understand the full picture."

Business and estate planning attorney with 12 years in law — five as licensed counsel, plus seven as a law clerk and legal assistant before that. I draft and review business contracts, form LLCs and corporations, and build wills, trusts, and estate plans. Two things make my work different. Alongside my JD I hold an LLM in Wealth Management and have passed the Series 65 (Uniform Investment Adviser Law Exam), so I understand the tax and financial mechanics behind a document, not just its language — the same rigor I've applied to trust and entity structures for families with $100M+ in assets goes into a single NDA review. And I spent years in civil litigation defending insurers and their insureds, so I know which clauses actually get fought over, and I draft with that in mind instead of pasting boilerplate. Flat-fee quotes whenever scope allows. Same-business-day responses. Most single-document projects delivered in 1–3 business days, with a plain-English summary of what I changed and why. Licensed in Texas (Bar No. 24123061) and malpractice insured; available nationwide for contract, business, and commercial matters that don't require state-specific admission. Message me what you're working on and I'll tell you honestly whether I'm the right fit.

Roofing Contract
Texas
stuck in a bad contract
I got into a contract with a roofing company that wants to charge me 12 thousand dollars out of pocket on top of he !5 or so thousand that thge insurance is paying or the want 5,800 for breach of contract i need the roof but i cant afford that much debt or cash
Howard B.
Courts will protect you from an illegal deal, but they will not protect you from an unwise deal. On its face, this is enforceable. However, I know Texas has some very strong consumer protection laws and a Texas attorney may be able to help you with that. You will need to speak directly to a Texas attorney. I'm in a neighboring state and not licensed there.

My roofer says they have to change my contract increaseMy price by 2000Because the tile has been discontinued and need aDifferentKind. Can they do that?
Putting in new tile roof, Have a contract. Roofer wants 2000 Change
Corey P.
Good morning. This will depend on whether your contract is a fixed price, time and materials, or some other orangemen, and what your contract says about materials to be used, the contractor's ability to provide substitute materials, and any contractual limitations on the price increase for substitute materials. You may want to request a layer review your contract for these provisions and advise accordingly.

Michael K.
Hello Jake, I'm a transactional and corporate lawyer working in-house counsel for a company with 13 entitles and thus, I have to constantly draft, review, amend and negotiate commercial transactions and contracts on a weekly basis. As a result of this work, I have a great understanding of what clauses are needed within a contract to protect an entity/person and what clauses are needed to ensure the contract is covering all probable scenarios that may arise of the contract, such as, lack of payment or breach of contract. Maybe I can assist you with your purchase agreement. Feel free to text or call me at (305) 510-2722 or email mjosephkelly@gmail.com Best regards, -Michael J. Kelly, Esq.

Renovation Contract
California
Can a renovation contract be terminated if the contractor fails to complete the project within the agreed-upon timeframe?
I recently hired a contractor to renovate my home, and we signed a contract that included a specific timeframe for completion. However, it has been several weeks past the agreed-upon completion date, and the project is still not finished. I have already paid a significant amount of money upfront, and I am concerned about the contractor's ability to complete the renovation. Can I terminate the contract and seek a refund if the contractor fails to meet the agreed-upon timeframe?
Dolan W.
Hello! I'm so sorry about your situation. So legally speaking, you do have a right to cancel the agreement. The law would consider their actions to be a breach of contract for their failure to perform within the timeframe allotted. Because of their lack of performance, you can suspend your performance. You may want to consider just writing a formal demand letter. to the contractor to refund your money. https://www.contractscounsel.com/t/document-form-checkout/256.

Time and Materials Contract
California
Can you explain the key terms and potential risks involved in entering into a time and material contract?
I am currently in the process of negotiating a contract with a construction company for a home renovation project, and they have proposed a time and material contract. While I understand that this type of contract allows for flexibility in terms of pricing and scope changes, I am concerned about potential risks and uncertainties associated with such an agreement. I want to ensure that I have a clear understanding of the key terms and conditions, as well as any potential legal implications, before proceeding with this contract.
Dolan W.
Hello! The risks associated with T&M contracts often revolve around cost uncertainty. Since the final price depends on the actual hours worked and materials used, costs can easily exceed the initial estimates, especially if there are delays or unforeseen issues during the project. Additionally, without strict monitoring, contractors may have little incentive to work efficiently or use cost-effective materials. It’s essential to have detailed documentation requirements for time and materials used to ensure transparency. Lawyers essentially have T&M contracts and it's why there are so many disputes, so I'm familiar with your concerns. To adjust for these risks, you can negotiate terms such as a not-to-exceed limit or a guaranteed maximum price. I usually set expectations with clients in advance for my work and you can do the same with this particular contractor. If you need assistance in drafting or negotiating a T&M contract, you can come back and have an agreement prepared through Contractscounsel.com Best of luck! Dolan
