I am a business law attorney with over 15 years’ experience and a strong background in information technology. I am a graduate of the University of California Berkeley, a member of the Illinois bar, New York bar and a licensed lawyer (Solicitor) of England and Wales. I actively partner directly with my clients or indirectly, as Of Counsel, to boutique law firms to streamline business practices and manage legal risks by focusing on essentials such as - business contracts, corporate structure, employment/independent contractor agreements, website terms and policies, IP, technology, and commercial related agreements as well as business risk and compliance guidance.

I have been practicing law exclusively in the areas of business and real estate transactions since joining the profession in 2003. I began my career in the Corporate/Finance department of Sidley's Los Angeles office. I am presently a solo practitioner/freelancer, and service both business- and attorney-clients in those roles.

My Legal career has focused on representing businesses (corporations and limited liability companies) as general outside counsel. In this capacity, I have drafted a broad range of legal documents as well as analyzed proposed agreements drafted by the other party's attorney to the agreement for the purpose of determining the risks to which my client would be exposed. I maintained the client's minute book if no one in-house was available for that task. Additionally, if requested, I served as a general advisor to the client's executive offers and to its Board of Directors.

I am a New York-barred attorney and the founder of Ariel Herzog Law PLLC, a corporate practice focused on business law and on the privacy, security, and AI issues that arise in commercial contracting. I began my career in the corporate group at Willkie Farr & Gallagher LLP in New York, working in mergers and acquisitions, capital markets, and general corporate matters. I handle transactions across the full lifecycle — letters of intent, purchase agreements, due diligence, disclosure schedules, ancillary documents, and closing — as well as commercial agreements, entity formation, and corporate governance. My practice also involves data processing agreements, security addenda, vendor terms, and AI and data diligence, including helping companies resolve enterprise contracts stalled in a customer's security review. I am also the founder of Quarterback, an AI platform for managing M&A transactions.

I have been an attorney for 30 years. I am a Colorado native with many years in Alaska. I have a Bachelors in Biology, Chemistry and French, JD from Seattle University and Masters in Environmental Science and Law from Vermont Law School. I have traveled extensively, mostly in Europe, and speak several languages with more or less proficiency. I practiced law in Alaska and Colorado, much of it in remote areas but also large cities. I have taught in an environmental masters program and run large environmental nonprofits and a hot springs resort. I have worked with and run business incubators, a process I love.
