I have practiced at leading Am Law firms including Pillsbury Winthrop Shaw Pittman, Arent Fox, and Sughrue Mion, and I currently operate my own law practice. I have extensive experience handling high-stakes patent litigation, drafting pleadings and briefs, managing large-scale discovery, preparing and defending depositions, and appearing before federal courts and administrative bodies such as the PTAB and ITC. I hold a J.D., cum laude, from The George Washington University Law School and advanced technical degrees in chemistry and chemical engineering, which allow me to efficiently handle technically complex matters. Hi, I'm Randy. I've been practicing law for over 30 years, with extensive experience drafting, reviewing, and revising contracts for individuals, entrepreneurs, and businesses. I spent nearly 15 years running my own law practice in Richmond, Virginia, where I represented small business owners, professionals, entrepreneurs, and clients in the entertainment industry. That experience taught me that a good contract must do more than address legal requirements. It should clearly define the parties' rights and obligations, anticipate practical problems, and protect my client's interests if the relationship does not go as planned. Contract drafting and review are major parts of my practice. Over the course of my career, I've drafted and reviewed hundreds of agreements. I also review contracts prepared by other attorneys, businesses, and individuals to identify legal issues, assess enforceability, and identify potential compliance issues under current applicable law. My experience includes: • Prenuptial and postnuptial agreements • Employment and independent contractor agreements • LLC operating agreements for single-member and multi-member LLCs • Consulting, coaching, freelancer, and professional services agreements • Residential and commercial leases • NDAs and confidentiality agreements • Entertainment industry agreements • Business formation and corporate documents • Other commercial and business contracts I also have substantial experience preparing estate planning documents, including wills, trusts, powers of attorney, and advance medical directives. I'm currently based in New York City and am licensed to practice law in Virginia. I work remotely with clients on contract projects across the country. My approach is practical and straightforward. I take the time to understand the transaction, the client's objectives, and the risks that need to be addressed. I then draft an agreement that is clear, thorough, and usable in the real world. Whether you need a new agreement drafted, an existing contract reviewed, or revisions to a document you are negotiating, I can help you identify the important issues and prepare a contract that reflects your objectives. I would be glad to discuss your project and how I can help.

"Solid drafting work on a B2B paid services agreement with a nuanced surcharge model. Daehoon delivered on time across two rounds, cited actual Illinois case law where relevant, and proactively flagged edge cases I hadn't specifically asked about. His initial bid was the sharpest of the seven I received — he clearly read the parameters carefully. One note for future buyers: scope discipline runs both ways with him. He'll flag scope creep quickly and quote a supplemental fee (in my case $600 on a $1,200 base) for revisions beyond the follow-up envelope. That's fair and clearly communicated, but budget for it if you expect iteration. Would hire again for drafting work where scope is well-defined upfront."

I specialize in business law and contracts, with an emphasis on commercial transactions and negotiations, document drafting and review, employment, business formation, e-commerce, technology, healthcare, privacy, commercial real estate, data security and compliance. Specifically, I've drafted, reviewed and/or negotiated thousands of MSA's, NDA's, TOS', SAAS, sales, service, managed services, referral, reseller, royalty, finder’s fee, employment, contractor, consulting, advertising, marketing, manufacturing, distribution, management, artist, author, agency, photography, rental, lease, vendor, partnership, website, platform, application, privacy, non-compete, non-circumvent, confidentiality, IP ownership and licensing agreements so I'm very familiar with these types of documents. Practicing law since 2006, I worked in-house before starting my own solo practitioner law firm in 2011. I've worked with individuals and start-ups, Fortune 500 companies, and every type of entity in between, always providing quality legal work that fits the exact needs of the person and/or business. I’m a graduate of the Benjamin Cardozo Law School and also have an English degree from Penn.

"Michelle drafted an excellent and unique Post Nuptial agreement which outlines a very specific "process" that will be used to divide assets in the event of divorce. Since assets can change value daily, traditional "splitting an asset list" methods are often outdated within a week of signing. Michelle rose to the challenge at a very reasonable price. Other, "meter man" attorneys would have charged at least 5x more. I highly recommend Michelle!"
