"Took less than 1 hour to get a call from Benjamin after I submitted the inquiry. I was in a rush to get 3 documents in a day since I had a deadline. He listened to my concerns well and he assured me he got all my documents ready to move forward. Although I was a bit worried about the results, as it was my first time using contractscounsel and Benjamin, I got my documents done the next day. I am actually very happy and grateful the high quality and prompt work. I will get Benjamin's help again and he well deserves my 5 star review."

Project Description

In 2023, a small electronic manufacturing business in California sought assistance in drafting an intellectual property assignment agreement. The client was in discussions with a larger company interested in purchasing their products, but needed to ensure ownership of the design IP, which was currently held by their manufacturer. With limited resources and a tight deadline, the client aimed to finalize legal documentation to protect their interests and prevent any potential circumvention by the buyer. As a result, the client received one proposal from a licensed attorney, with a flat fee bid of $395, all submitted to meet the urgent deadline of less than a week.

IP Assignment Agreement

Asked on Jun 16, 2024

Can an employer enforce an IP Assignment Agreement if it was signed after an employee had already started working for the company?

I recently started working for a tech company and was asked to sign an IP Assignment Agreement, which states that any intellectual property I create during my employment belongs to the company. However, I had already been working on a personal project before joining the company, and now I'm concerned that they might try to claim ownership of it. I want to know if the agreement is enforceable, given that it was signed after I had already started working for them.

I hope that you have not yet signed this agreement, because it may indeed be enforceable. If it has not yet been signed, amend the agreement to exclude the personal project from the agreement before you sign it.
