Project Description

In 2026, a business in Texas sought assistance with an intellectual property assignment agreement critical to their operations. The client, an early-stage mental health technology company, aimed to ensure clear ownership of all work produced by co-founders, contractors, and advisors. They had made significant revisions to a base agreement and needed expert review for enforceability under Texas law, specifically looking to address concerns about the scope of "Work Product," clarify assignment terms, and ensure compatibility with an existing non-disclosure agreement. As a result, the client received one proposal from a licensed attorney, with a flat fee bid of $325. The proposal was submitted to meet the client’s requested deadline of less than one week, ensuring prompt and efficient assistance.

IP Assignment Agreement

Washington

Asked on Jun 16, 2024

Can an employer enforce an IP Assignment Agreement if it was signed after an employee had already started working for the company?

I recently started working for a tech company and was asked to sign an IP Assignment Agreement, which states that any intellectual property I create during my employment belongs to the company. However, I had already been working on a personal project before joining the company, and now I'm concerned that they might try to claim ownership of it. I want to know if the agreement is enforceable, given that it was signed after I had already started working for them.

I hope that you have not yet signed this agreement, because it may indeed be enforceable. If it has not yet been signed, amend the agreement to exclude the personal project from the agreement before you sign it.
