Project Description

In 2023, a business in West Virginia sought assistance with drafting an intellectual property assignment agreement. The client was poised to embark on a government-funded project in collaboration with another entity, which involved developing software based on the client's proprietary algorithm. To protect their interests, the client aimed to ensure ownership rights over the intellectual property generated during the project, specifically preventing the partner company from using their technology to create and market similar software. As a result, the client received five proposals from licensed attorneys, with flat fee bids ranging from $240 to $1,500. All proposals were submitted to meet the client's requested deadline of less than one week, allowing for timely progress on their important project.

IP Assignment Agreement

Washington

Asked on Jun 16, 2024

Can an employer enforce an IP Assignment Agreement if it was signed after an employee had already started working for the company?

I recently started working for a tech company and was asked to sign an IP Assignment Agreement, which states that any intellectual property I create during my employment belongs to the company. However, I had already been working on a personal project before joining the company, and now I'm concerned that they might try to claim ownership of it. I want to know if the agreement is enforceable, given that it was signed after I had already started working for them.

I hope that you have not yet signed this agreement, because it may indeed be enforceable. If it has not yet been signed, amend the agreement to exclude the personal project from the agreement before you sign it.
