Project Description

In 2026, a business based in California sought assistance from a legal professional to prepare and file a corporate resolution. The client needed a licensed attorney to review LLC records and complete the specific attestation letter required for obtaining an EV Code Signing certificate. This process required confirmation of the client's authority to act on behalf of the company, as well as verification of its physical presence, business phone number, and domain name rights. As a result, the client received one proposal from a licensed attorney, with a flat fee bid of $375. The proposal was submitted promptly to meet the client's tight deadline of less than a week, ensuring that the necessary documentation could be completed efficiently.

Do I still have to do Schedule B of Form 1120S

Do I still have to do schedule B of Form 1120S

Fema B.

Answered Sep 11, 2026

Yes. Schedule B is part of Form 1120-S, and the IRS instructions state that an S corporation should complete all Schedule B items that apply to the corporation. Schedule B contains informational questions regarding matters such as ownership, accounting method, business activity, shareholder information, foreign transactions, and certain elections or reporting obligations. That does not necessarily mean every question will require a substantive entry. Some questions may simply be answered “Yes,” “No,” or left inapplicable depending on the corporation’s circumstances. If you are preparing the return yourself and are uncertain whether a particular Schedule B question applies, it is worth having a CPA or tax professional review the return before filing.

Corporate Resolution

Texas

Asked on Sep 24, 2024

Can a corporate resolution be revoked or amended after it has been adopted?

I am the CEO of a small corporation and recently our board of directors adopted a corporate resolution to authorize a significant business transaction. However, since then, new information has come to light that suggests the transaction may not be in the best interest of the company. I am wondering if it is possible to revoke or amend the corporate resolution that was previously adopted in order to prevent the transaction from moving forward.

I would highly recommend you have an attorney review this issue for you. There are many questions that require resolution prior to knowing whether the board’s action can be amended or revoked, including what your company’s foundational documents say about the powers of the board and the CEO. Further, without reading the resolution, I am not able to determine whether the board resolution simply allows the course of action if determined prudent (in which case, no modification necessary) or if the board is actually mandating the course of action. Regardless, a competent attorney should be able to advise you. I would be happy to assist if you like.
