In most cases, contracts only need to be signed by the parties to the contract. The contract should have the key information related t the parties signing and the terms and length of the agreement to name a few clauses that need to be included. There are some contracts that need to be notarized. The police may have a notary, but your bank may also. There are many components to your question - ownership of the business, who does what in the business, business formation, is there a need for insurance to cover risks, and other items. There are tools online to help or you can use an attorney. With an attorney you will get specific assistance for your business, online it may be more generalized information you find.

Has a contract with someone where if we disagreed we would go to mediation. They refused to go, they offered us a settlement as long as we signed another contract. I don't understand fully what it is saying.

Who drafts a demand letter?
I recently received a demand letter from an individual that I had a disagreement with. I am uncertain as to why the letter was sent and what actions I need to take in response. I am looking to understand who drafts a demand letter and what their purpose is in order to determine how to proceed.

Virtually anyone can draft their own demand letter or have an attorney draft one on their behalf, so long as it is not for an unlawful purpose (such as harassment or extortion). The purpose of a demand letter is to "demand" that someone do or not do something. For example, one demand letter might request that the recipient make a payment. For another example, a demand letter might request that the recipient cease and desist defaming the sender. A demand letter should clearly state what the recipient is being asked to do or not do. Often, one that is drafted by an attorney will also state why. A recipient of a demand letter who is unsure about how to proceed should consult with a knowledgeable attorney in the appropriate jurisdiction. The attorney should be able to advise on options for next steps, as well as pros and cons for each. The attorney might also be willing to draft a response or otherwise assist the recipient with resolving the underlying issue.

How is payment structured in an asset purchase agreement?
I am looking to purchase a business and am currently in the process of negotiating an asset purchase agreement. I would like to understand how the payment is structured in this agreement so that I can make sure that I am getting the best deal possible. I am looking for guidance on how to structure the payment in the agreement so that I am protected and can get the best outcome for my business.

Congratulations on purchasing a business. Payment by the buyer in an asset purchase agreement can take many forms, or a combination of forms. The simplest is 1) a lump-sum, in which the total purchase price for the business is paid upfront, or 2) installment payments, in which the purchase price is divided into multiple installments over a specified period. It is a good idea to implement some conditional provisions for payment, which provides more protection for the buyer. Options include 3) an earn-out provision, which is used when the final purchase price is contingent on the future performance of the acquired assets or business. The seller may receive additional payments if certain financial targets or milestones are achieved post-acquisition; 4)contingent payments, in which you agree on a lower base purchase price, and additional payments by buyer are made only when triggered by specific events or outcomes, such as new acquisitions or product milestones. Regardless of model used, in most cases I recommend 5) escrow, in which the buyer place a portion of the purchase price in an escrow account for a certain period of time, say 12 months, in order to cover indemnification claims and disputes that arise after acquisition, that were not disclosed or unforeseen during the due diligence process. I recently received an offer for a position that I am very interested in, but I am concerned about the timeline of the offer. I'm wondering if it's possible to get an advance on accepting the employment offer so that I can make a more informed decision.

Yes, it is possible. Remember opportunities with employers should be mutually beneficial. Ultimately, you will receive an offer from the employer that you negotiate. In all negotiations, negotiate confidently and reasonably. It is ok to walk away from an offer if it does not meet you expectations.
