Most of my career has been as in-house counsel for technology companies. My responsibilities included managing all vendor/procurement contracts and compliance, customer/partner/reseller contracts and compliance, data security/privacy compliance and incident responses, HR/employment issues, and legal operations. I am very comfortable negotiating Commercial Contracts, Vendor Agreements, and Procurement Contracts for goods, services, and licensing, as well as addressing Employment & Labor, Intellectual Property, and Data Privacy issues and compliance. I specialized and have a certificate in IP in law school and continued to develop in that area as in-house counsel for Interactive Intelligence, Genesys, which are unified communication companies, and KAR Global in the automobile digital services lines of business.
John B.
I am an attorney with over 13 years experience licensed in both Illinois and Indiana. I spent the early part of my career as a civil litigation attorney. Eventually, I moved into an in-house role, specifically as general counsel, to help companies avoid the pains of litigation. In doing so, I gained significant experience in executive leadership, corporate governance, risk management and cybersecurity/privacy. I bring this wealth of experience to my client engagements to not only resolve the immediate issue, but help implement lasting improvements in practices to avoid similar problems going forward.

Noncompete Agreement
Colorado
Can I get out of my noncompete agreement?
I am looking at my options.
Donya G.
You may be able to be released from a non compete. You would have to review the language in the non compete to see the expiration. DISCLAIMER The answers to these questions do not constitute legal advice and does not create an attorney-client relationship with the attorney and anyone who reviews these responses.

Employee Non-Disclosure Agreement
Florida
Version: Can an Employee Non-Disclosure Agreement prevent me from discussing workplace harassment with others?
Version: Can an Employee Non-Disclosure Agreement prevent me from discussing workplace harassment with friends, family, or other colleagues, as I have recently experienced harassment at my workplace and want to seek support and advice from trusted individuals outside of the company? I am concerned that the agreement I signed when I started my employment may restrict my ability to talk about these issues and potentially hinder my efforts to address and resolve the harassment situation.
Dimitry K.
The answer here is strongly dependent on the language itself within the non-disclosure agreement. For example if there is language pertaining to disparagement, such terms often do limit the ability to communicate information with third parties, with some limitations such as law enforcement, federal agencies, or legal representation. Without reviewing your specific agreement it is hard to give a clear answer but it is a distinct possibility that the language can indeed restrict communication with third parties, especially if you received some manner of financial benefit from signing the agreement with the employer.

Independent Contractor Agreement
Texas
Employee vs. contractor: What are the legal distinctions?
I am a small business owner in the tech industry and I am currently in the process of hiring individuals to work on various projects. I am confused about the legal distinctions between an employee and a contractor and how it may impact my business. I want to ensure that I am classifying workers correctly to avoid any potential legal issues and to understand the rights and responsibilities associated with each classification.
Darryl S.
This is an important distinction and has both financial and legal implications. Independent contractors do not get overtime, benefits or workers compensation and thus are generally cheaper to hire and easier to fire than an employee who does get these benefits. The IRS and Department of Labor use multi-factor tests examining control, financial aspects, and the relationship's nature—key indicators include whether you provide tools/equipment, set specific hours, integrate the worker into your business operations, or maintain an ongoing relationship versus project-based work. Given the complexity and high stakes of worker classification in the tech industry, where the line between employee and contractor is frequently blurred, I strongly recommend consulting with an employment attorney who can review your specific situation and help establish proper classification procedures. Additionally, consider having workers sign clear agreements that reflect their true working relationship and maintain documentation supporting your classification decisions.

Contract Termination Agreement

Review of severance agreement and decision to contest
I am 70 y/o and was laid-off after 3 1/2 years of my employment as a Medical Affairs Senior Liaiason at Lundbeck LLC as part of a company reoganization last week. The company has offered a severance package supposedly based on a Company "Severance Plan" they will make available on request. In the severance agreement, they have listed all of the employees were were considered for elimination with respective ages and which were retained vs eliminated - at least one other person in my age range was eliminated while one was retained - looks like they have covered their bases on issue of age discrimination. Just wondering based on my age and ability to gain comparable re-employment at this point in my life if there is a case for increase in compenstion irrespective of their standard "severance plan" that is in place.
Diane D.
You don't have to sign or accept the severance package. However, if you don't, they may not give you the severance package. If you need help with the review, let me know. Remember, if you file suit, you have the burden of proving your case by a preponderance of the evidence.

Physician Employment Agreement
North Carolina
When to use a physician employment agreement?
I am a physician who has been approached by a practice to join their team. I am interested in learning more about the details of the agreement that I will be signing, including when a physician employment agreement should be used. I want to make sure that I am making the best decision for my career and that I am fully informed when signing the agreement.
N'kia N.
In North Carolina, written employment agreements between medical groups and the physicians that they employ are standard. A reputable group will almost always present a proposed agreement to a prospective employee without being prompted. Sometimes, the proposed agreement is in the form of an "offer letter" that, once signed, will become the contract between the parties. Before signing any proposed agreement, a prospective employee should ensure that it accurately reflects what the parties have agreed to. It should include all of the agreed-upon terms and should be written clearly enough that an outside third party could interpret what the parties intended without seeking further explanation. Additionally, a prospective employee should pay close attention to contract clauses intended to have long-term effects, including but not limited to "restrictive covenants" such as non-disclosure, non-competition, or exclusivity provisions. Last, a prospective employee might consider having an attorney review a proposed employment agreement before signing. Good luck!
