Can I got a nonrefundable deposited back if no contract was signed?

I scheduled a free photography session with this girl. She said she needed $200 in advance that will go towards a package I'll buy when the photos are done. I decided the next day after looking how expensive her packages are that I couldn't afford it. I never signed the contract she sent me but she will not give me the $200 back. Can I get this money back? Am I in the wrong or is she?

Can a SaaS reseller agreement be terminated by the software provider without cause?

Can a SaaS reseller agreement be terminated by the software provider without cause? I am a software reseller who has entered into a reseller agreement with a SaaS provider. The agreement does not specify any termination clauses or conditions, but it also does not explicitly state that the software provider can terminate the agreement without cause. Recently, the software provider informed me that they will be terminating the agreement without providing any specific reason. I am concerned about the potential impact on my business and want to understand if the software provider has the legal right to terminate the agreement without cause, and if so, what my options are moving forward.

Hi. The answer is entirely dependent on the agreement’s language. Without seeing the contract, it’s impossible to give you a complete answer. Generally, an agreement can only be terminated by it’s own conditions, and absent a specific termination clause, it can usually be terminated either due to a breach of the agreement or by suing for breach and asking for termination as the result (so-called “equitable relief”). But with a reseller agreement, there are lots of new variables, as you’re not a user of the product… questions about to who and when you can resell., specific product versions, support provisions, etc. And there’s also a general prohibition against contracts of servitude, requiring an indefinite provision of personal services (which a SaaS contract could be argued to be). So again, the contract language is critical.

Is it legal for a recruiting agency to charge a fee for providing a candidate who was previously referred by another agency?

I recently engaged a recruiting agency to assist in finding a suitable candidate for a position at my company. However, another agency had previously referred a candidate who I ultimately hired through the new agency. Now, the first agency is claiming that they are entitled to a fee for the candidate, even though they did not actively participate in the hiring process. I would like to know if it is legally permissible for the new agency to charge a fee for providing a candidate who was previously referred by another agency.

I'm sorry to hear about what seems like a complicated mess. I suggest that you carefully review the contracts from each agency. The types of questions a contracts attorney would look for would include whether or not you're obligated to the first agency for referring a person and whether or not the second agency may be on the hook to the first agency for referring an employee signed up with the first agency. I'd want to know the time limits for referrals - eg, if the first agency's contract says that you would be obligated to pay them for a hire within "x" amount of time after referring the candidate. To my knowledge, this is the only chapter of Washington State law to review, that is on point: https://app.leg.wa.gov/RCW/default.aspx?cite=19.31 It's often possible to negotiate a settlement in these types of situations. The first agency wants to be paid for their time/effort, which is reasonable, especially if they had a contract with you, but you may be able to settle (if you do, be sure to get everything in writing - that they release you from further liability). If the second agency is somehow at fault, you may be able to get them to reduce the fee they charged you, and/or pay the first agency some or all of the first agency's fee. I hope this has been helpful. Hello! The most significant risk is missing or being late on a payment, which could potentially breach the purchase agreement. Another risk is that the current owner usurps the deal or attempts to sell the property to someone else. At least, these are some of the practical risks. An attorney should review the written Lease Purchase agreement to outline the potential risks and recommend possible edits.
