Co-Ownership Agreement

New York

Asked on Feb 12, 2025

Need advice on Co-ownership Agreement.

I am considering purchasing a property with a friend and we want to draft a Co-ownership Agreement to outline our rights and responsibilities. However, we have different financial contributions and I want to ensure that my investment is protected in case of any disputes or if one of us wants to sell the property. Can you provide guidance on what should be included in the agreement to address these concerns and any other important aspects we should consider?

Damien B.

Answered Feb 13, 2025

Hello. An option is to create an LLC to purchase the property. This would provide liability protection. As part of the LLC, the members would have an Operating Agreement outlining the terms and conditions of managing the LLC (which owns the property), including provisions regarding financial contributions, disbursement, resolutions of disputes or disagreements, and how a property sale would occur.

Escrow Services Agreement

California

Asked on Sep 13, 2024

What are the legal obligations and potential risks involved in using escrow services for a real estate transaction?

I am currently in the process of purchasing a property and my real estate agent has recommended using an escrow service to ensure a secure and smooth transaction. However, I have heard conflicting information about the legal obligations and potential risks associated with using escrow services. I want to make sure I fully understand the legal implications and any potential risks involved before proceeding with this option.

Hello! Welcome to contractscounsel.com. So in your case, using an escrow service in a real estate transaction is super common as it helps facilitate a secure and smooth transfer of property ownership. In an escrow arrangement, a neutral third party holds the funds, documents, and other assets until all terms and conditions of the sale are met, ensuring that neither the buyer nor the seller is at risk of losing money or property if the other party fails to fulfill their obligations. They are basically a middleman. One of the main legal obligations when using escrow is adherence to the terms outlined in the escrow agreement. Both parties must comply with the instructions provided in the contract, including deadlines for deposits, inspections, and disclosures. The escrow company is legally bound to act according to the instructions from the buyer and seller and can only release funds or documents when all conditions are met. If a dispute arises, the escrow company may require mutual agreement or a court order before taking any action, which could delay the process. Potential risks of using escrow services include issues related to the service provider's reliability and the risk of fraud. It's important to choose a reputable and licensed escrow company to minimize risks. In some cases, fraudulent companies may present themselves as escrow services, taking advantage of unsuspecting buyers or sellers. I would verify with others in the field or even friends and family, in addition to doing your own research online to sniff out any scams. Best of luck! Dolan

Quitclaim Deed

Ohio

Asked on Oct 2, 2023

How to correct a quitclaim deed error?

I recently purchased a home using a quitclaim deed. After I received the deed, I noticed that there was an error in the legal description of the property. I am concerned that the error may invalidate the deed, and I am looking for advice on how to correct the error.

Jeffrey K.

Answered Oct 6, 2023

In Ohio, a deed can be corrected either by re-recording the prior deed with corrections made directly on it, or by recording a new deed, called corrective deed. Correcting the legal description can all be achieved through a corrective deed.

Purchase and Sale Agreement

Texas

Asked on Aug 18, 2021

Does a wholesaler need to be at closing?

As a wholesale from another state trying to execute a purchase and sale agreement on a property, do i need to be physically present in that state to complete this process. For example, i live in Texas. The property is in California. How do i conduct a purchase and sale agreement with a seller or their real estate agent. I live in Texas. I am trying to execute a purchase and sale agreement with a seller or their real estate agent who live in California.

Rebecca S.

Answered Aug 18, 2021

The short answer is you can be an out of state purchaser but you need to right support team behind you. Signing the contract can be done electronically and you don’t need to be in California to do that. Either a real estate attorney or hiring your own agent.
