Business Contract

Should I sign a contract if the terms and conditions don't apply to what I am buying?
I am about to sign a contract to rent a venue for my wedding ceremony (not reception). In the terms and conditions they state that I am responsible for paying $10,000 overtime per hour over the contract (which includes venue, staffing ,bar package). However I am having a ceremony only, there is no food or beverage being provided. And the only staff are 2 people to set up the room. Overall it seems the terms and conditions are more for a reception, not just a ceremony. Bottom line, should certain terms and conditions be removed from my contract if they do not apply to my ceremony?
Donya G.
Absolutely. Please do not sign a contract with terms that do not apply to you. Once signed, you would then be bound by those terms and conditions. Go back and ask them to remove the sections that do not apply to you before you sign. If you need additional assistance and wish to hire me to assist you in the review of your agreement or discuss the revisions with the venue, you can contact via Contracts Counsel. All the best. Arbitration Agreement
New York
Can my employer enforce an arbitration agreement that was included in my employment contract without my knowledge or consent?
I recently discovered that my employment contract contains an arbitration agreement, which I was not aware of or given the opportunity to review or negotiate before signing. I feel that this agreement may limit my rights as an employee and prevent me from pursuing legal action in case of workplace disputes or violations of my rights. I would like to know if my employer can enforce this arbitration agreement, given that I did not provide explicit consent or have any knowledge of its existence prior to signing my contract.
Danny J.
Your concern about the arbitration agreement in your employment contract is understandable. This situation raises important questions about contract formation and the enforceability of arbitration clauses. Generally, for an arbitration agreement to be enforceable, it must meet certain criteria: 1. Mutual assent: Both parties must agree to the terms. 2. Consideration: Something of value must be exchanged. 3. Conspicuousness: The clause should not be hidden or buried in fine print. 4. Fairness: The terms should not be unconscionable or overly one-sided. The fact that you were unaware of the arbitration clause and didn't have an opportunity to review it could potentially impact its enforceability. However, the specific circumstances of how the contract was presented and signed are crucial in determining whether the agreement is binding. Key factors to consider: 1. How the contract was presented to you 2. Whether you had a reasonable opportunity to review the entire contract 3. If there were any representations made about the contract's contents 4. Your state's specific laws regarding arbitration agreements in employment contracts It's important to note that many courts have upheld arbitration agreements in employment contracts, even when employees claim they were unaware of them. However, there are exceptions, and the enforceability can vary based on state laws and specific circumstances. Given the complexity of this issue and its potential impact on your rights as an employee, it would be advisable to have a thorough review of your specific situation. As an experienced employment law attorney, I could: 1. Review your employment contract and the arbitration clause 2. Assess the circumstances under which you signed the contract 3. Evaluate the enforceability of the arbitration agreement under applicable state and federal laws 4. Advise you on potential options for challenging the agreement, if appropriate 5. Guide you on how to proceed in addressing any workplace disputes Would you like to discuss your situation in more detail to better understand your rights and explore the best course of action regarding this arbitration agreement?

Ground Lease
New York
Can a ground lease be terminated early by the lessor if the lessee violates a non-monetary covenant?
I am currently in a ground lease agreement where I am the lessee, and I recently received a notice from the lessor stating that they intend to terminate the lease due to a violation of a non-monetary covenant. The specific covenant in question pertains to the maintenance and upkeep of the property. I have been diligently maintaining the property, but there may have been some minor lapses in the past. I would like to know if the lessor has the legal right to terminate the ground lease early based on a non-monetary covenant violation, and what options I have to defend against this termination.
Damien B.
Hello: The success of a claim of breach of the agreement depends on whether the alleged violation of the specific non-monetary covenant is material and whether there is a right to cure it. If it is a minor or curable breach, and the lessee can cure it, then the lessee may have defenses to an alleged breach claim.

How to proofread a legal document?
I’m doing a consigning agreement on a piece of art work. I’m lending it back to the private seller for 6 months. I will have a 1 page document drafted by someone who does this often(not lawyer though). Just wanted a proofread by a professional such as yourself.

This platform allows attorneys who are registered to see your job and apply your needs. First, please go into the platform and post the job - "Need one page review of agreement". After posting, attorneys who are interested will then send you proposals as to how much their services will cost. You will receive email and messages on the site from attorneys who choose to engage in your job posting. Then, you can schedule a time to talk with the attorney or attorneys you would like and finally hire them. Hope that helps Donya
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
