I have been given a contract that says 'Fixed Term Employment Contract'. How is this different than a normal employment contract? Is there anything I need to consider before signing this?

This is an important distinction and has both financial and legal implications. Independent contractors do not get overtime, benefits or workers compensation and thus are generally cheaper to hire and easier to fire than an employee who does get these benefits. The IRS and Department of Labor use multi-factor tests examining control, financial aspects, and the relationship's nature—key indicators include whether you provide tools/equipment, set specific hours, integrate the worker into your business operations, or maintain an ongoing relationship versus project-based work. Given the complexity and high stakes of worker classification in the tech industry, where the line between employee and contractor is frequently blurred, I strongly recommend consulting with an employment attorney who can review your specific situation and help establish proper classification procedures. Additionally, consider having workers sign clear agreements that reflect their true working relationship and maintain documentation supporting your classification decisions.

I recently accepted a new position with a company that has requested that I sign a noncompete agreement. I understand the agreement and the limitations it puts on me, but I am concerned about how the agreement would be affected if the company is sold or changes ownership in the future. I would like to understand my legal rights in the event of a change of control.

If the future company buys the equity of your current employer, the Non-Compete continues in effect. If the future company buys the assets, the Non-Compete is terminated. I would request a sentence be added to the effect that "if there is a change of control of the Company (meaning more than 50% of the equity interest or 50% of the voting equity control) is sold or transferred, then this Non-Compete Agreement is terminated.

In North Carolina, written employment agreements between medical groups and the physicians that they employ are standard. A reputable group will almost always present a proposed agreement to a prospective employee without being prompted. Sometimes, the proposed agreement is in the form of an "offer letter" that, once signed, will become the contract between the parties. Before signing any proposed agreement, a prospective employee should ensure that it accurately reflects what the parties have agreed to. It should include all of the agreed-upon terms and should be written clearly enough that an outside third party could interpret what the parties intended without seeking further explanation. Additionally, a prospective employee should pay close attention to contract clauses intended to have long-term effects, including but not limited to "restrictive covenants" such as non-disclosure, non-competition, or exclusivity provisions. Last, a prospective employee might consider having an attorney review a proposed employment agreement before signing. Good luck!
