Do I need a user agreement for my business?
I’ve recently started my business which is a web-based sentimental message delivery company. Essentially my business allows people to upload written, Audio, and video files to my website (data warehouse is managed through Amazon Web Services), for these messages to be delivered to their intended recipients at a later date in the future or after they pass away. I intended to manage the post-life part by asking the customers to submit their DOB, full name, and most recent address, as we plan to run regular scans against the SSA’s death master. I realize that this is personal information, that may fall under HIPAA penalties. My Amazon expert recommended a user agreement so I’ve been reading up on them, and I just want to confirm this is the appropriate approach. I urge you to get legal advice from a qualified attorney before imposing or changing terms and conditions - I see you have a lot of questions about TOC, and you're not going to get proper legal advice/guidance/review just by posting questions. How long should the contractor agreement last?
I am a small business owner who is looking to hire an independent contractor. I need to know how long the contractor agreement should last in order to ensure that both parties are legally protected. I am also concerned about how long the contractor will remain with my business and what the renewal process will look like if necessary.

The terms that you write in an independent contractor agreement should, first and foremost, protect you/your business and give you the advantage in the relationship, if possible. While some such contracts may have an end date, that's not mandatory; but be sure to give yourself/your business the right to terminate the contract when you want to, without cause. Leave it to the contractor to negotiate better terms than you propose, on behalf of the contractor - that is not your job. I recommend that each of you use your own attorney to review the agreement prior to signing. What are risks without a purchase agreement?
I am considering purchasing a business and have been asked to sign a purchase agreement. However, I am unsure if this is necessary and would like to understand the potential risks of not having a purchase agreement in place. Purchasing a business without a binding agreement would be extremely risky (and, I'm sorry to be blunt, but extremely foolish). For example, without an agreement in which the seller is responsible for debts incurred prior to the sale, creditors could come after you.
