Adam J.
I'm a California-licensed attorney with 18 years of experience helping everyone from Fortune 500 companies and venture-backed startups to individuals navigating real-life legal situations. I bring an high degree of emotional intelligence to every matter, and am also certified as both a coach and as a counselor. My career started at Fenwick & West, one of Silicon Valley's top law firms, where I worked alongside names like Google, Airbnb, Kleiner Perkins, and Sequoia Capital. From there I moved in - house at companies like Cloudflare, Autodesk, and Enphase - which gave me a practical, business-minded perspective that I bring to every client, no matter the size of the matter. Today I work with businesses and individuals alike. On the business side, that means commercial contracts, leases, startup corporate work, and serving as a fractional general counsel for companies that need a trusted legal partner without the overhead. On the personal side, I help individuals with employment matters, disputes, demand letters, contract review, and the kind of everyday legal situations where you just need someone knowledgeable in your corner. I'm direct, responsive, and I speak plain English — not legalese. Whether you're a founder closing your first deal or an individual facing a situation you've never navigated before, I'll give you the same level of attention and care.
"Excellent experience with Adam who was very quick, responsive, yet thorough in completing my project. Highly recommend!"

Additional background skills and experience include investment banking, financial analysis, and management consulting. Sectors covered include technology, media, healthcare, franchises, small to medium enterprises, investment funds, and international business.
"He was amazing! He protected me from fraud and I will most definitely continue my business with him… Thank you Michael!"
Max K.
I am a business attorney and former in-house corporate attorney with more than a decade of experience helping companies navigate contracts, commercial relationships, day-to-day operations, and disputes. My practice includes drafting, reviewing, and negotiating commercial agreements, licenses, leases, vendor and service agreements, and other business arrangements. Licensed in Nevada, California, New York, and Texas, I also hold an Executive MBA. My goal is to serve as practical, long-term outside counsel to small businesses and entrepreneurs that value responsiveness, sound judgment, and advice grounded in commercial realities - not merely technical legal answers. I handle disputes when necessary, but much of the value I bring lies in identifying issues early, preserving business relationships, and preventing avoidable conflicts. I do not bill separately for routine phone calls. I want clients to feel comfortable calling before a small concern becomes an expensive problem, and I am always happy to have an initial conversation to see if the fit is right for you. www.linkedin.com/in/maxkelner

"I had the pleasure of working with Nancy on a commercial lease for our Business, and I couldn’t be more satisfied with the experience. From our initial consultation to the final signing, her professionalism, deep knowledge of real estate law, and attention to detail were outstanding. What impressed me most was the clear and consistent communication. She took the time to walk me through all clause of the lease on which we had concerns, answered all my questions promptly, and made sure I fully understood my rights and obligations and also suggested modification which would help me as a Tenant. Her expertise helped negotiate favorable terms and avoid potential pitfalls I wouldn’t have caught on my own. I absolutely love helping my clients buy their first home, sell their starters, upgrade to their next big adventure, or transition to their next phase of life. The confidence my clients have going into a transaction and through the whole process is one of the most rewarding aspects of practicing this type of law. My very first class in law school was property law, and let me tell you, this was like nothing I’d ever experienced. I remember vividly cracking open that big red book and staring at the pages not having the faintest idea what I was actually reading. Despite those initial scary moments, I grew to love property law. My obsession with real estate law was solidified when I was working in Virginia at a law firm outside DC. I ran the settlement (escrow) department and learned the ins and outs of transactions and the unique needs of the parties. My husband and I bought our first home in Virginia in 2012 and despite being an attorney, there was so much we didn’t know, especially when it came to our HOA and our mortgage. Our real estate agent was a wonderful resource for finding our home and negotiating some of the key terms, but there was something missing in the process. I’ve spent the last 10 years helping those who were in the same situation we were in better understand the process.
"Rebecca you were awesome I appreciate you working with me and helping me get this done. I look forward to working with you in the future."

"Meghan was great to work with! She understood everything perfectly and delivered greatly."

In my most recent full-time role, I served as the Sr. Director and Assistant General Counsel at SMART Global Holdings, where I served as the general counsel for the HPC and AI division of this publicly traded holding company, comprised of four companies, before becoming the global head of the commercial legal function across all portfolio companies, including two multinational industry leaders. During much of my career, I provided outside legal services on a recurring basis for several years advising several high growth start-ups and venture firms as well as house hold names, and also led one of the country's fastest growing infrastructure resellers and managed services providers. My core competencies include contract review, commercial negotiation, legal operations, information security, privacy, supply chain and procurement, alliances and channel sales, HR, and general corporate. As a lawyer with a background in contract drafting and litigation, I created this template settlement agreement to help you formalize a resolution to a legal dispute. I also have legal services packages set up if you need additional help with the template (i.e., reviewing it after you filled it out, needing help filling it out, etc.).
Overview of the Template Simple Promissory Note
You can use my template simple promissory note to memorialize a loan agreement, or to borrow money (with or without interest). My simple promissory note lays out all the relevant terms, rights and obligations of the loan, from the amount of the loan itself to the agreed-upon repayment plan.
For context, a proper promissory note should include information such as the amount and date of the loan, the names of the parties (i.e., the lender and borrower), the interest rate on the loan and its beginning date. Your promissory note should also describe how the loan will be paid (e.g., in installments of principal and interest, in installments of interest only, in one lump sum on a specific date, due on demand, etc.).
What is Included in the Template Simple Promissory Note?
My template simple promissory note contains key provisions to help formalize the terms of the loan. For example, my template simple promissory note identifies the value to be received by the borrower and the express promise that the borrower will repay the loan to the lender, along with interest at a specified rate.
My template simple promissory note also contains important language about the payment terms, including the need to repay both the principal and accrued interest. This section also details when loan payments are due and the amount to be paid each month. In addition, there are provisions addressing what steps the lender can take in the event the borrower defaults on the loan and which state law governs the promissory note.
All of the provisions in my template settlement agreement are modifiable so it can be used to accommodate any unique aspects of the loan agreement. I’ve also included recommended language that can be used to fill in specific sections, such as the payment terms.
Who Should Use the Template Simple Promissory Note?
My template simple promissory note was drafted in manner to enable use by any party seeking to formalize a loan agreement, whether that be a lender or borrower.
Benefits of Using the Template Simple Promissory Note
My template simple promissory note was designed for simplicity, clarity, and to be user-friendly. These features can help both the borrower and lender reach an agreement on the parameters of a loan in clear, understandable language.
Having a formalized promissory note is helpful since it memorializes the terms and conditions of the loan agreement and can be used as evidence in the event a legal dispute arises between the borrower and lender.
If there is a legal dispute surrounding the terms of the promissory note, you may need to escalate the matter to litigation. If that situation arises, having an experienced attorney by your side can pay dividends. My legal services are available. If hired, I will be there for you every step of the way, offering clear communication, accurate legal guidance, and proactive solutions.
