Employment Contract Review

5.0

"Kristen was great. She was very prompt and timely with emails even on a Friday night and over the weekend with a time-sensitive contract review. Her turnaround was quick and her advice confirmed my suspicions about the contract and the changes that needed to be made for the deal to work for me."

Project Description

In 2022, a business in Colorado sought assistance with an intellectual property assignment agreement as part of a transition for one of its employees. The client, a wound care nurse moving into a role as a clinical program manager at a safe patient handling company, needed legal advice to ensure that they could continue working on their own side project—an innovative device aimed at improving nursing ergonomics. Their primary concern was to clarify that their independent efforts would not conflict with the new company’s interests. As a result, the client received three proposals from licensed lawyers, with flat fee bids ranging from $385 to $475, all submitted to complete the work within the requested deadline of less than a week.

IP Assignment Agreement

Washington

Asked on Jun 16, 2024

Can an employer enforce an IP Assignment Agreement if it was signed after an employee had already started working for the company?

I recently started working for a tech company and was asked to sign an IP Assignment Agreement, which states that any intellectual property I create during my employment belongs to the company. However, I had already been working on a personal project before joining the company, and now I'm concerned that they might try to claim ownership of it. I want to know if the agreement is enforceable, given that it was signed after I had already started working for them.

I hope that you have not yet signed this agreement, because it may indeed be enforceable. If it has not yet been signed, amend the agreement to exclude the personal project from the agreement before you sign it.
